Notary Public residing in Lexington, Kentucky, the attached en-
velope said to contain the deposition of W. A. McDowell for the
defendant in the above case; that the envelope containing said -
deposition has not been Opened by Aifient or any other person since
it was received by eiiiant from said Abbott, and said deposition
is now in exactly the same condition as when received by effinnt
from said Abbott.

The deposition of W. A. McDowell, taken pursuant to
Notice hereto attached, on July 9, 1917, at the law office of
Samuel M. Wilson, 810 Security Trust Company Building, in the
City of Lexington, Kentucky, to be read as evidence on behalf
of defendant in the above-styled action now pending in the
Breathitt Circuit Uourt.
Said witness being of lawful age and first duly ‘

Q. Please give your name, age, residence and occupation.

Q. What connection, if any, did you have with the Louisville
& Nashville Railroad Company during the year 1913? -
A. I was the Manager of the L&E Division.
Q. Is it or not a fact that the Louisville & Nashville
Railroad Company has purchased the railroad formerly known
as the Dexington & Eastern, which was owned by the defendant
. in this case? ,
A. It is a fact that the Lab Company had purchased as I
‘ understood the entire capital stock of the Lexington & Eastern
Railway Company.

Q. Over What part of the road did your jurisdiction as '
Manager extend?
A. From Lexington, Ky., to McRoberts, Ky.
Q. That included the track through Breathitt Uounty,
V did it not? '
A. It did.
Q. What, in a general Way, was the nature of your duties
as Manager.
A. I had immediate general charge of the entire operation
of the line, as above described.
Q. Do you recall an accident to Mike Robinson Some time
during October, 1912?
A. Yes, I do.
Q. Where did it occur?
A. As I now recall, it Was at a tunnel just East, as we

V then called it, or up the river from Jackson.

Q. What, if anything, Was done towards settling With him
on account of this accident?

4 A. He was brought to the Hospital in Lexington and treated
by Dr. W. 0. Bullock, our chief surgeon. We had innumerable
requests from him to pay him something on account of the ‘
injury and tried to help him on more than one occasion by
paying him something on account of it.

Q. Was any settlement with him ever finally made?

A. Yes. I .
Q. When and where was it made?

A. It was made in my office, in Lexington, in December, 1913.

Q. Do you recall who was present?

A. Yes.

Q. Who?

A. His father or fether-in-lew, I do not remember which, and

Q. Please go ahead and tell fully just what occurred in
connection with this settlement in interviews previous to
the time that you made the settlement.

v A. I had offered Mr. Robinson $500.00 in full settlement,
which he declined to accept, in ansWer to his letters just
prior to the settlement. I had written him that I mauld
still give him the @500.00, but would deduct therefrom what—
ever fee he had agreed to pay his attorney or attorneys, and
if he cared to accept it, he could come to my office, but must
bring with him his agreement with the attorneys. He came
down, as I now recall it, just before Uhristmaa in 1913, and
brought with him the original agreement, signed by Attorney
South Strong, and I paid him, at that time $500.00, less

V the stipulated amount in Mr. Strong's agreement, which was
$150.00, which amount was retained for Mr. Strong.

Q. What, if anything, was afterwards done with this $150.00?

A. I do not actually know, but feel sure that it was since
paid to Strong.

’ Q. Did the contract which he exhibited to you provide for a
lump sum fee of $150.00 or for a percentage?

A. It called for a percentage. It called for 30% of the '
amount he received in a compromise settlement such as was
effected, and I remember distinctly Mr. Robinson saying that
Mr. Strong would be entitled to 30% of $350.00 and not 5500.00,
and I said to Mr. Robinson that he could settle with his at~
torneys in any way he desired, and if he would send me their ,
receipt in full I would remit to him the $150.00 which has
to be retained.

Q. Have you now before you the voucher and draft on Which
the payment to Mike Robinson of the $350.00 was made?

A. I have.

Q. Flease file them as part of your deposition, marked
respectively, "Exhibit A" and "Exhibit B."

A. I will.

Q. Did or not the settlement which was made with Mr. Bob-
inson provide for his employment by either the Lexington &
Eastern hailway Company or the Louisville & Nashville Rail-
road Company?

A. Id did not.

Q. What, if anything, was said at that time or at any other
time prior to the settlement about his future employment?

' A. I had,pricr to that time,intimated to him that I would

be glad to assist him when he was in condition to accept a
position in any way that I could, but at the time of the set—
tlement especially and in fact at all other times, I impressed,
upon him distinctly that any future employment was no part
whatever of the settlement; that the settlement was made for

l the 9500.00 alone.

Q. Did you make any agreement of any sort to employ him in

. mm fimmm?

A. Only as above stated, that I would take pleasure in
assisting him to obtain a job if I could; that is, if he was
physically and mentally capable of taking a job. At the times -
I talked to him, he was drinking to excess and, therefore,

hot capable of accepting a position with the railroad.

Q. As I understand you then, his application for emplhyment
in the future would have to be considered on the merits, the

A. Yes, and it was explained to him in practically those words.

, Q. Do you recall whether Mr. Robinson read over the voucher
which you have filed as Exhibit "A" at the time he accepted same?

A. He did, and I also read it aloud to him, and as I now
recall it Engineer Kinnard also read it aloud to him.

Q. Did you have any particular reason for explaining in
detail the terms of this settlement and voucher to hr. hob-
inson? If so, What were they?

A. Yes, I did. Probably eighteen years ago, we made a set-
tlement with an employee who had been injured and had taken a
release from him and was afterwards sued on this injury, and
in that trial we had to take a man who was not in the employ
of the Company from Lexington to Beattyville to testify that
he had read and explained to him the nature of the release '

4 we took, which made quite an impression on me. This made such
- an impression on me that I invariably made the injured party
‘ read the release himself, if he could, and if he couldn't to
explain it fully to him in the presence of a witness and im-

press upon him that :he release covered the entire transaction.

Q. Did any employment of MI. Robinson by either the Lexington
& Eastern Railway Company or the Louisville & Nashville Railroad
Company enter into said settlement to any extent whatever? If
so, what? _

A. It entered into it in no way whatever.

. Q. Was any consideration for said settlement omitted or not
expressed in said voucher filed as Exhibit "A”?

A. No, it expresses the terms of said settlement in full. .

Q. Who drew the draft on the Treasurer of the Louisville &
Nashville Railroad Company, filed as Exhibit "B" with your
deposition? ‘

A. I did. '

Q. Is this your signature on the lower leftnhand corner of
the voucher?

A. It is . '

Q. Mr. McDowell, is there any other fact connected with this
case which I have omitted or Wflich you.would.likn to explain?

A. I don't know that there is, other than the fact that Rob-
inson had previous to the settlement insisted on our giving him

a promise of future employment, and that prevented absolutely my
making any settlement with him until that was eliminated, as was
the case in December, 1913.

Q. How long prior to the actual making of the settlement did

‘_ he agree to accept the $500.00,provided you wauld employ him?

A. I don't recall definitely, but from the best of my hecol~
lection, a settlement of that kind could have been made immediate-
ly after the injury or at any time after the injury.

Q. As I understand you then, the delay in making the settle-
ment was due solely to his holding out for future employment
up to the time the settlement was finally consummated?

I A. That is absolutely correct, as I now remember.

Q. And this was entirely eliminated at the time the settle-
ment was made?

A. It was,and he had been so told,not only by me but by
Engineer Kinnard, that unless he would eliminate the question .
of future employment.that no settlement could be made.
