Dear Sir:—
I desire to call your attention to the under pass on the
connecting right of way between the K. C. and the L & E division
of the L & N running through my farm. By deed dated March 12,
1895, between Thos. C. Wood and Ann E. Wood and Lexington & Eas—
tern Railway Company, a pass—way fouryeen feet in width was provid-
ed. The water running through this pass—way is of such a volume
at certain seasons of the year that the pass—way is main of no val-
ue to me. The natural course of the stream has been changed. This
I do not think should have been done at the time the conCrete arch-
way was made. I would suggest that either another culvert be made
to carry off the water at a point about twenty—five or thirty feet
south of the aforesaid crossing, or ease about four or five large
mains be hadéed under the regular channel of the road—way. The idea
that I have in mind is simply to have the crossing so constructed
that my stock,including cattle, sheep, hogs and lambs and also my
wagons loaded with farm pro‘uce,can use this pass-way at any time
and at all seasons of the year. I h0pe that you will please have
this matter attended to While the men are at work on the road-way
now, as I believe that When the Construction Companies leave the
work it will be much harder for you to satisfactorily fix this pass.

Dear Sir:—

Supplementing my letter of April 5rd and replying
further to your communication of the 2nd of April in regard to
gates and cattle—guards at the farm crossing connecting por—
tions of your land oh Opposite sifies of the right-of~wey of
the Iexington e Eastern Railway Company in this County, I have
to say that9 after conferring with Kr. Echowell in regard to
this matter and after a careful examination of the deed from
Clerk to the Kentucky Union Railway Company, of Tehruezy 19,
1889, ena the agreements on the part of the Railway COmpeny
therein contained, I can fini nothing which obligates the Lex-

, ington & Vaetern Railway Company, as successor in ownership
of the Kentucky Union Railway Cempany, to construct or main—
tain either cattle-guards or gates at the private crossing in
question. The only obligations on the part of the iailwey
Company in the Clerk coed which bear upon the point are the
obligations respecting fencing and the obligation to provide
"grade crossings".

As you have doubtless been aflvised by your attorney,
the matter of cattle-guards and gates is regulated by statute
(Ky. Stets., Sec. 1795). It seems to me that the provisions

. of this statute are clear and unmistakable. The present law
was enacted *ehruary 25, 1895, but a similar law, regulating
the same subject, had been in force a number of years prior
thereto, ené such a law was in force at the time of the trans-

action between Mr. Clark and the Kentucky Union Railway Company.
The provision referred to will be found in Section 8 of an

Act approvefi Kay 17, 1886, which appears also as a part of
Chapter 55 of the General Statutes, Edition of 1888» The
language of this provision is as follows -

"That the companies (Le.the railroad company) shall
be required to erect cattle-guards at all terminal points;
of its fence and at public crossings. But where there is_
a private passway across said rose, the land—owner for ;
whose benefit it is shall bear one~half the expense of
cattle—guards and gates, the former to erect the gates,
the company the cattle—guards."

This provision necessarily entered into and became

a part of the contract between Hr. James S. Clark and the
Kentucky Union Railway Company. What that Company or the
Lexington & Eastern hailwey Company may have voluntarily done
in the matter of erecting or repairing gates is in no way de~
eisive of the question as to the legal rights and ohligstions
of the parties.

, I might aid that it is settlefl law that where the

5 erection of gates is regulated by statute, the provisions of

i such statute must govern, and it is also well settled that
at private crossings a railroaé is under no ohligstion what-
ever te maintain cattle-gueras, unless the outy is imposed
by statute.

I feel quite confident. after such examination as p
I have been able to give to the matter, that you are mistaken
in your contention that the gates ans cattle-guards should he
both constructed and maintainefi by the Railway Company alone.
Certainly, the respective cuties of yourself. as land-owner,

and the Lenington & Eastern Railway COmpany, as owner of the
railroad right—of—way, are unmistakably defined by Section
1795 of the Kentucky Statutes, just as the fluties of Mr.
Clark and the Kentucky Union Railway Company were likewise I
defined in the provisions of the statute I have quoted above.

As per your request I enclose herewith c0py ofmy letter to
him of April lst, and I also enclose cepy of deed dated February 19th,
1889 from his Uncle, James S. Clark, to the Kentucky Union Railway

% Mr. Wood's statement that we did for a number of years main—

American Dollar and helievd.thfit the results would be better if we
went to the expense of maintaining the gates, but in later years he
has so annoyed us that I decided we had better actually comply with
the common law governing a private crossing.

Dear Sir:-

Replying to yours of 24th ultimo and referring to your conver
sation over the telephone this A.M.

Regardless of your attitude to this Company, we have in this
particular case decided to accept your Attorney's views as to the in—
terpretation of Section 1795 which, according to him, requires cattle—
guards at a private farm crsssing where the right of way is continuous—
ly fenced on both sides. This section,as I am sure your Attorney Will
tell you,requires that one-half the cost of the installation of the
cattleguards and gates be paid by the party for whom they are put in
and one—half by the railroad company. We assume that it is your inten—

V tion to comply literally with your attorney's views,anl ifymi will so ~
advise us we will immediately install the cattleguards complete with
the wing fences,billing against you for one—half the same. We in turn 3
stand ready to pay one-half of any necessary reasonable repairs to the i A
gates. I

This Agreement made this February 19th, 1889, between James
Clark and the Kentucky Union Railway Company, WITHESSETH, that
said Clark has this day sold to said company the right of way
through his farm in Fayette County, Kentucky, on the Lexington and
Bryant Station pike about three miles from Lexington adjoining
the lands of Mrs. Estill,Royster and Mrs. Wood ypon the following
terms and conditions.

I. Said Company is to pay for said right of way in cash be—
fore entering upon same for construction, the sum of twenty—nine
hundred dollars in cash.

, 2. Saidficgmpany agrees to fence said right of way on both
\ sides with a substantial post“and"rail”or post afidfiplahkmfence
\four rails or planks high with a barbed wire at the bottom and per—
;petually maintain the same. :” " ,

Whenever said company shall pay to said Clark said twenty—
nine hundred dollars and erect said fencing and crossings,said
Clark will execute a deed cenveying said right of way with general
warranty title to said company. Said company may take possession
of the right of way and construct its road at any time after the
payment of said twenty nine hundred dollars but not train shall be
Operated until the fencing and crossings are erected as herein
provided.

Dear Sir:-

Your letter of yesterday received. Will you please read
the deed of conveyance dated Egb: gb, l8§§$Mbetween the Kentucky Union
Railway, signed by C.H.Stoll, Pres., and Jas. S. Clark. If you have
not a copy of this deed I shall be glad to show you mine. You will
find the Railway CO., among other things, was to erect and maintain
fenées on both sides of its right of way and to provide grade crossings
inlaid
at three different points selected by Mr. Clark, and to erect and main-
tain gates, - all these things the Railway Co. did during Hr. Clark‘s
lifetime, I positively know.

How in 1807, by verbal agreement between you and I, these
three crossings were eliminated and only the one at Mile Post No.5 was
to be maintained, — in other words, your Company was relieved of the
responsibility of maintaining the crossings.

In the course of your letter you say, ”I will not take the
trouble to maintain my gates endeavoring of keeping them shut."

You know, Mr.McDowell, I have tried several times to get
your Company through you to furnish me suitable gates, which you will
find when you read the aforesaid deed, your Company—is required to do,
but so far you have persistently refused, so_ of course, I have had
to maintain my gates, and as for keeping them shut, I tried to show
you how, in view of all the circumstances, it is impossible for me,
personall; to keep them shut. Why should I want my cattle killed and
get about one—half, after months of waiting. Why should I want my

stock to get on the track and probably derail your trains,thereby ‘
endangering the lives of innocent passengers, You seem to make me
responsible.
In closing, Mr. I-lcil’owell,l wish to say, gates or no gates,
fencing or no fencing, cow gaps or no cow gaps, please let us be fair.
