Dear Sir:-

In the Bill of chegtions which we have tendered we have
alleged that the attorney for plaintiff, in his closing argument
to the Jury, made the following statement in substance:

"Just as defendant has a headlight on
the front end of its locomotive engine, by
Which plaintiff's intestate, Clark Vaughn,
was struokgrun over and killed, so ordinary
care within the meaning of the instruction
given by the court in this case requires
that defendant should have had a headlight
on the rear end of its engine or tender as
it backed down the main track in defendant's
yard on the occasion of the accident complained
of."

Hays has asked that that portion of the Bill of Exceptions
be stricken out and in lieu thereof the following substituted as be-
ing what he said:

"It is contended by counsel for the de-
fendant that the little lantern on the rear
end of the engine as it Was moving was the
usual and ordinary headlight required to be in
use, under the circumstances of this case. We
deny this. We claim such contention is a fal-
lacy. We insist that it was the duty of the
defendant to have provided a headlight suffi-
cient to have enabled the person or persons on
file engine to see Clark Vaughn and others on
the track in front of the backing engine and
tender. The usual and ordinary headlight
under the circumstances of this case would
have been one like you see in common use-of
which you have commagdknowleuge. Railroad men
of ordinary prudenceAengaged in railroad busi—
ness have furnished a true test of the kind of
light that might ordinarily be expected to be

in use, and you gentlemen of the Jury know
the kind of light provided ordinarily as a
headlight. We claim nothing short of such
a light under the circumstances of this case
would have been sufficient."
I believe our position is better to allow Rays to sub-
szitute this than what we have in ours.

for this to be substituted.

with Mr. Jouett, if you have not already done so, and urge
him to have the clerk make the transcript of record for
the COurt of Appeals as soon as possible, and when completed

Dear Sir,

I have your letter May 5, covering draft of proposed
bill of exceptions in this case. It seems to me it is very
complete and I have no suggestions to make that are at all
essential.

On page 3, 14th line from the bottom, I understand
you to be referring to the two transcripts, one made by
the clerk of the court, and the other by the official
stenographer. If so, for the sake of clearness, where
you have written the word ”transcript," I suggest you add
an "s," and make it "transcripts."

When I first read instruction No. l, on page 5, which
it is recited was offered by defendant, I was inclined to
think that the bill of exceptions was in error in characteriz—
ing that instruction as having been offered by defendant.

I conclude, however, in view of the other six instructions

(making 7 in all) immediately following instruction No. 1,

that the instruction was offered by defendant. And I am not

criticizing this having been done. My view, generally, has
. been that the defendant should not offer any instruction

predicating a right of recovery in plaintiff in such cases,
but that such an instruction should more properly come either
from plaintiff or the court. But when I read instruction
No. l in connection with the succeeding six instructions
defendant offered, and all of which were refused, I think
I can see the reason for offering instruction No. l in this
case.

I observe you copy into the bill of exceptions the
motion and grounds for new trial and indicate that the clerk
is to copy the supplemental grounds for new trial. Of
course, strictly speaking, these motions and grounds are
not properly a part of the bill of exceptions, but are a
part of the record, having been made so by order of court.
The only office of a bill of exceptions being to bring into

E the record matters occurring on the trial, which would not

, otherwise be a part of the record, it is unnecessary, and,
therefore, inadvisable, generally speaking, to incorporate

l in the bill of exceptions anything that is already a part
30f the record by order of court, and which will be copied
by the clerk anyhow, thereby duplicating the record to that
extent. It may be, however, that you had some special
reason for making the motion and grounds for new trial and
the supplemental grounds for new trial a part of the bill
of exceptions in this instance. And it is all right with me.

The eighth ground of your motion and grounds for new
trial concerns misconduct of plaintiff's attorney. But

you make no reference to that in your bill of exceptions,
except as is done by copying into the bill of exceptions
;/ the motion and grounds for new trial. I assume you concluded
I it was not worth while to press this point further, and, for
that reason, did not refer to it in your bill of exceptions.
It is well settled, of course, that in order to avail of
misconduct of counsel on appeal, it must not only be made
a ground of the motion for new trial, but the misconduct
must also be set up in the bill of exceptions. And I do
not think it would be regarded as being set up in the
bill of exceptions merely by copying the motion and grounds
for new trial into the bill of exceptions, for reasons
already stated.
I am glad you have asked Mr. Jouett to tender the

,, bill of exceptions and transcript of evidence on the first

{H day of the September term, regardless of the fact that time
was given by order of court to a later day in the term in
which to tender them.

I am in receipt of the carbon of mr. Warfield's let-
ter of may 4th relative to the above case.
I have seen Judge Hays, and he says any time this
‘ month will be satisfactory in which to execute the supersedeas.
I do not know what is your custom about the power-
