      Minutes of the Meeting of the Board of Trustees of the
University of Kentucky, Tuesday, April 4, 1989.

       The Board of Trustees of the University of Kentucky met at 1
p.m. Lexington time on Tuesday April 4, 1989 in the Board Room on the
18th floor of the Patterson Office Tower on the Lexington Campus.

      A.   Meeting Opened

      Mr. Foster Ockerman, Sr., Chairman, called the meeting to order
at 1:02 p.m., and the invocation was pronounced by Mr. Ted Bates.

       B.   Roll Call

       The following members of the Board of Trustees answered the
call of the roll: Mr. Foster Ockerman, Sr. (Chairman), Mr. Ted B.
Bates, Professor Raymond F. Betts, Mr. William E. Burnett, Jr.,
Professor Mary Sue Coleman, Professor David R. Driscoll, Jr., Mr.
Tracy Farmer, Senator Walter D. Huddleston, Dr. Nicholas J. Pisacano,
Mr. James A. Rose (James), Mr. James L. Rose (Jim), Judge Robert F.
Stephens, Mr. Jerome A. Stricker, Mr. William B. Sturgill, Mr. Billy
B. Wilcoxson, and Judge Henry R. Wilhoit, Jr.. Absent from the
meeting were Governor Albert B. Chandler, Mr. Lawrence E. Forgy Jr.,
Mrs. Edythe Jones Hayes, and Judge Julia K. Tackett. The University
administration was represented by President David P. Roselle;
Chancellors Peter P. Bosomworth, Art Gallaher and Charles T.
Wethington; Vice Presidents Edward A. Carter, Wimberly C. Royster and
Eugene R. Williams; and Mr. John C. Darsie, General Counsel.

       Members of the news media were also in attendance. Mr. Darsie
reported a quorum present, and Mr. Ockerman declared the meeting
officially open for the conduct of business at 1:05 p.m.

       C.   Minutes Approved

       Mr. Ockerman stated that the Minutes of the March 7, 1989 Board
of Trustees meeting and the Minutes of the March 22, 1989 Executive
Committee meeting had been distributed and asked for questions,
comments or corrections. The Minutes of both meetings were approved
as written.

       D. Revised Committee Appointments for 1988-89

       Mr. Ockerman informed the Board that he had made appointments
to the following Committees:

             Finance Qgmmittep            Investment Committee

             Foster Ockerman, Sr.         William E. Burnett, Jr.
             William B. Sturgill

       Mr. Ockerman stated that Mr. Stricker had expressed the need
for more people on the Investment Committee and indicated that he
would take the request into consideration.

       E.    President's Report to the Trustees (PR 1)

       Before beginning PR 1, President Roselle called upon Mr.
Stricker to inform the Board about his son's recent noteworthy
experience. Mr. Stricker reported that a lady attempting to commit
suicide was floating unconscious on her back in the Ohio River. His
son, Jeff, dove in the river, pulled her to shore and saved her life.

       President Roselle asked Dr. Dan Fulks to inform the Board about
Honors Day. Dr. Fulks reported that Honors Day had been combined with
the Creason lecture and the guest speaker would be Dan Rather. This
is the day the University celebrates its academic purpose and
recognizes academic achievemexits of the last year. He extended an
invitation to the Board and the public to attend Honors Day at 3:00
p.m. on April 28.

President Roselle continued with the following items in PR 1:

       1.   Dan Fulks, Associate Dean for Undergraduate Studies,
             College of Business and Economics, will be the new
             academic ombudsman for 1989-90. He will assume his new
             duties on July 1, succeeding William G. Moody.

             The academic ombudsman is mainly responsible for handling
             issues of concern to students or for problems which have
             gone through the usual channels and have not been solved
             to the satisfaction of all concerned. Any student
             comments received by the Board should be submitted to Dr.
             Fulks.

       2.   At the time PR I was printed, Somerset Community College
             had been named by the American Association of Community
             and Junior Colleges as one of three commuity colleges in
             the country with outstanding business programs. At the
             American Association of Community and Junior Colleges
             meeting on Friday, it was further announced that Somerset
             was named the top community college in the country in
             terms of its business program.

       3.    President Roselle encouraged Board members to fully take
             part in Honors Day and stated that invitations were in
             the mail.

       4.    Special attention was called to the development efforts
             in the Community College System. The 14 colleges in the
             system report that $1,210,217 was given by the private
             sector. The community colleges are truly functioning as
             community colleges, and the Community College System
             continues to be a source of pride for the University of
             Kentucky.



       President Roselle asked that the Board review the other items
in PR I at their leisure.

       President Roselle called upon Dean Oran Little, College of
Agriculture, to make a presentation about the 75th Anniversary of the
Cooperative Extension Service at the University.

       Dean Little provided a report on the Cooperative Extension
Service and stated that on May 8 every county in the state will have a
special birthday party. He introduced the 75th Anniversary committee
consisting of representatives from the counties. He stated that the
Cooperative Extension Service has a bright future and called
particular attention to the most recent annual report that was
included in the Board packets. He added that later in the day there
would be a special program commemorating the 20th anniversary of the
Expanded Food and Nutrition Education program and invited everyone to
attend.

       President Roselle expressed thanks to Dean Little for a very
productive year and noted that Dean Little has traveled the
Commonwealth of Kentucky extensively his first year in the deanship.
President Roselle stated that Dean Little has represented the
University of Kentucky exceedingly well.

       F.    Personnel Actions (FR 2)

       With President Roselle so recommending, on motion by Mr.
Stricker, seconded by Professor Coleman and carried, the routine
personnel actions in PR 2 were approved. (See PR 2 at the end of the
Minutes.)

       G.    Proposed Amendment to the Governing Regulations (PR 3A)

       The Board received a proposed amendment to the Governing
Regulations for preliminary consideration. The proposed amendment
will be included on the agenda for action at the next Board meeting.
Dr. Paul Sears explained the purpose of the proposed amendment and
stated that it should be a good incentive toward recruiting desired
people. (See PR 3A at the end of the Minutes.)

       H.    Honorary Degree Recipients (PR 3B)

       President Roselle recommended that approval be granted to
awarding the honorary degree of Doctor of Letters to Douglas W.
Schwartz, the Doctor of Science to Shoichiro Toyoda, and the Doctor of
Laws to Hilary J. Boone, Jr., John H. Gray, Daniel. Oduber and Georgia
Powers. Senator Huddleston so moved. The motion was seconded by Mr.
Stricker and unanimously carried. Mr. Ockerman noted for the benefit
of the audience that the information regarding the honorary degree
recipients had previously been sent to the Board for review and
consideration. (See PR 3B at the end of the Minutes.)

       I. Associate Degree Program in the Community College System -
Paducaah Community College  (PR 4A)

       With President Roselle so recommending, Mr. Sturgill moved that
the Board authorize for submission to the Council on Higher Education
a new degree program, Associate Degree in Applied Science, Engineering
Technology, Electrical Option, for the Paducah Community College. The
motion was seconded by Professor Betts and carried. (See PR 4A at the
end of the Minutes.)

       J.   Appointment to University of Kentucky Equine Research
Foundation (PR 5A)

       President Roselle recommended that approval be given to the
appointment of Mr. John C. Ray as an equine industry member of the
Board of Directors of the University of Kentucky Equine Research
Foundation for a four-year term. He reviewed briefly the credentials
and experience of Mr. Ray and indicated his pleasure in reconunending
this appointment. The motion, which was made by Mr. Bates and
seconded by Professor Coleman, was voted on and passed. (See PR 5A at
the end of the Minutes.)

       K.   Appointmnt o hiversity Hospital of the Albert B.
Chandler Medical Center. Inc. Board of Directors (PR 6A)

       Acting on the recommendation of President Roselle, Dr. Pisacano
moved that Mr. Billy B. Wilcoxson be appointed as a member of the
Board of Directors of the University Hospital of the Albert B.
Chandler Medical Center, Inc. for a term to expire on June 30, 1989.
His motion was seconded by Mr. Burnett and carried. (See PR 6A at the
end of the Minutes.)

       L.    University Research Professorships (PR 8A)

       President Roselle stated his pleasure in recommending that the
Board approve the naming of Professor James C. Albisetti, Department
of History/Honors; Professor Jeffrey Davidson, Department of
Microbiology an Immunology; Professor Raphael A. Finkel, Department of
Computer Science; and Professor John H. Garvey, College of Law as
University Research Professors for 1989-90. The professors were in
attendance and were asked to stand and be recognized as President
Roselle read a statement about each professor. Professor Betts so
moved. His motion was seconded by Mr. Stricker and passed without
dissent. (See PR 8A at the end of the Minutes.)

       Professor Betts stated that Professor Garvey has taught in the
Gaines Center for the Humanities in an undergraduate seminar, and
Professor Albisetti is the second of the eight faculty members in the
honors program who has received a research professorship in the honors
program as an undergraduate activity. This speaks well for the
combined research and instructional activities of the faculty.

       M.    Acceptance of Interim Financi     eport for the University
of Kentucky for the Eight Months Ended February 28, 1989 (FOR 1)

       Mr. Bates, Acting Chairman of the Finance Committee, stated
that FCR 1 is a routine item and moved that the Board accept the
Interim Financial Report for the University of Kentucky for the Eight
Months Erlded February 28, 1989. The motion was seconded by Mr.
Sturgill and passed. (See FCR 1 at the end of the Minutes.)

       N.    Disposal of Personal Property (FOR 2)

       Mr. Bates stated that FCR 2 addresses the disposal of personal
property consisting of vehicles, farm equipment and surplus Medical
Center Library books. The disposal would be done through public auction
on April 8. He moved its acceptance. His motion was seconded by Mr.
Burnett and passed. (See FCR 2 at the end of the Minutes.)

       0.    Establishment of a Mandatory Registration Fee Policy (FOR 3)

       Mr. Bates stated that FCR 3 concerns the establishment of a
mandatory registration fee policy and asked Mr. Carter to expound on the
policy.

       Mr. Carter stated thaL the policy comes to the Board as a result
of a conversation the Board had about a year ago with the adoption of
the operating budget. This policy takes two things into consideration:
(1) the relative ability of Kentuckians to pay and (2) the market in
which the University competes, basically the benchmark institutions. He
explained that this policy parallels the policy the Council on Higher
Education uses in setting the tuition for higher education in Kentucky,
and stated that this policy sets the context in which the administration
will propose any additional increases in the registration fee.

       Mr. Bates moved the acceptance of FOR 3. His motion was seconded
by Mr. Sturgill and carried. (See FOR 3 at the end of the Minutes.)

       P.   Affiliated Corporations of The University of Kentucky
Booklet

       Mr. Ockerman called attention to the booklet on Affiliated
Corporations of The University of Kentucky which Mr. Darsie had
distributed. He asked the Board to review the booklet and feel free to
contact President Roselle, Mr. Darsie or himself regarding any questions.

       Q.    Investment Committee Report

       Mr. Stricker, Chairman of the Investment Committee, reported that
the Investment Committee met on the morning of April 4, 1989 and had
presentations by investment advisors on how to improve the yield on
short-term investments. It was an information session and no action was
taken at the meeting.

       R.    Meeting Adjourned

       There being no further business to come before the Board, the
Chairman adjourned the meeting at 1:45 p.m.
