It is proposed to oporate the cement gun rights

either by lease or subsidiary companies, in the event of

 

operating by ouboidiary o mpanios, the Finance Company will
always retain 60% of such companies. Said looses or sub-
sidiary companieo £0 be made in such a mannor as to make it
necessary for individuals or corporations, handling the Cement
gun, to purchase cement from the Atlantic Cement Uompany.

For the above cement gun rigots and the otock in
the various subsidiary companies now organized or about to
be organized in this territory, it is proyosod to pay the Gonu
oral Cement Product 90mpany five Hundred thouoood dollars cash
and one quarter common StOCk of the holding company.

With aha above in View, it is proposed to or-
ganize this Finance, fielding and Operating Company with a
capital stock of

$2,000,000 6% non-accumulative preferred stock,

Common Stock

10,000,000

It is further proposed to sell $1,506,600 of the
preferred stock at $80.00 per soare, with a common stock
bongo of 103% par value, the balance of the Frcferred Stock
to remain in the treasury for future requirements.

The procéeds firom the above sale to me placed in
the treasury of tho above described Company and to be oisposed
of for completing the Atlantic Cement Plant and financing
aame for ooeration, and also to pay the cash purchase price
for too cement gun rights.

ESTIEATED PROFITS: It is eotimatod that tho
fitlaotio ?lant can earn $500,000 wiih cement at 855 per
barrel which would gibe the Finance Company a orofit of
$544,000, the balance being absorbed by the fixed coargoo of
this Company. The interest from the Atlantic bonds, or

notoa of $56,000 would also be an earning to the FinanceCom—
