       Minutes of the Meeting of the Executive Conmmnittee of the Board of
Trustees of the University of Kentucky, Friday, March 12, 1976.





       The Executive Committee of tlhe Board of Trustees of the University
of Kentucky nmet at 2:00 p.m. (Eastern Standard Time) on Friday, March 12,
1976, in the Board Room on the 18th floor of the Patterson Office Tower on
the Lexington campus with the following members answering the call of the
roll: Mr. William R. Black, Mr. Richard E. Cooper, arid Mr. George W.
Griffin. Professor Paul Sears, Ex-officio Secretary, was also present.
Absent from the meeting were Mr. Albert G. Clay and Mr. William B.
Sturgili.. Representatives of the University administration present were
President Otis A. Singletary; Vice Presidents L ewis W. Cochran, Robert
Zumnwinkle, Stanley Wall, Peter P. Bosomworth, John Smith, Jack Blanton,
and Donald B. Clapp; Dr. Robert M. Drake, Special Assistant to the
President; and Mr. John Darsie, Legal Counsel. Representatisves of the
various news media were also in attendance.


       A. Meeting Opened

       At the request of the Chairman, wiho was unable to attend, Mr. George
W. Griffin presided and called the meeting to order at 2:04 p nt. The invoca-
tion was pronounced by Mr. Black. The Secretary reported a quorum present
and the meeting was declared officially open for the conduct of business at
2:06 p.ain.


       B. Minutes Approved

       On motion by Mr. Cooper, seconded by Mr. Black, and passed, the
reading of the Minutes of the January 27, 1976, meeting of the Executive
Committee of the Board of Trustees was dispensed with and the Minutes
were approved as published.



       C. President's Report to the Trustees (PR 1)

       President Singletary reviewed briefly several, of the more interesting
items in his monthly report to the trustees and recomnmended that the report
be received and filed. Without objection, it was so ordered.

       D. Recommendations of the President (PR 2)

       Noting that the items in PR 2, Recommendations of the President,
were routine in nature, President Singletary recommended approval of the
personnel changes in section one and the acceptance of the quarterly report
of gifts and/or grants in section two.

       On motion by Mr. Cooper, seconded by Mr. Black, and passed, PR 2
was approved as a whole and ordered made an official part of the Minutes of
the meeting. (See PR 2 at the end of the Minutes. )


       E. Supplemental Recommendations of the President (PR 3)

       President Singletary recommended that the reappointment of Mr. Leroy
Miles to a two-year term on the Board of Directors of the Fund for the Advance-
ment of Education and Research in the University of Kentucky Medical Center
be approved.

       On motion by Mr. Black, seconded by Professor Sears, and passed,
it was so ordered. (See PR 3 at the end of the Minutes.)


       F. 1975-76 Budget Revisions (PR 4)

       Noting that Mr. Carter, Budget Director, was present and would be
happy to answer any questions, President Singletary recommended that the
revisions of the 1975-76 budget as presented in PR 4 be authorized and
approved. On motion by Mr. Cooper, seconded by Mr. Black, and passed,
it was so ordered. (See PR 4 at the end of the Minutes.)


      G. Waiver of Governing Regulations [VII-A-7-(3)] (PR 5)

      Explaining that normally the director of an interdisciplinary research
institute would be a member of the faculty of an academic department, President
Singletary requested that the Board of Trustees waive this requirement as
set forth in the Governing Regulations [VII-A-7- (3)] in the event it should
become necessary to employ a director for the Institute of Mining and
Minerals Research who would not meet this criterion. He added that this
waiver would not be exercised unless Dr. Funk should decide to return to
the deanship of the College of Engineering.

      On motion by Mr. Black, seconded by Professor Sears, and passed,
it was so ordered. (See PR 5 at the end of the Minutes. )

       H. Name for Old Agriculture Building (PR 6)                     0

       The Committee on Naming University Buildings has recommended that
the Old Agriculture Building be named the Clarence Wentworth Mathews Building
in honor of Professor Mathews who served as first dean of the College of
Agriculture and head of the Department of Horticulture until his death in 1928.
President Singletary indicated that the administration concurred in the
committee's recommendation.

       Professor Sears moved approval of the naming of the Old Agriculture
Building the Clarence Wentworth Mathews Building. His motion was seconded
by Mr. Cooper and passed without dissent. (See PR 6 at the end of the Minutes.)


       I. Appointment of the Dean of College of Law (PR 7)

       President Singletary recommended the appointment of Dr. Thomas
P. Lewis as Dean of College of Law and Professor of Law (with tenure),
effective July 1, 1976. He said that the recommendation canme from the
search committee and had the concurrence of the appropriate University
administrative officials. A native of Kentucky, graduate of the University
of Kentucky Law College, and a former professor of law at the University
of Kentucky, Dr. Lewis is considered an authority on constitutional law,
special legislation, and labor law.

      On motion by Professor Sears, seconded by Mr. Black, and passed,
Dr. Thomas P. Lewis was named Dean of the College of Law and Professor
of Law (with tenure), effective July 1, 1976. (See PR 7 at the end of the
Minutes. )


       J. Interim Financial Report (FCR 1)

       Mr. Griffin mentioned that the Finance Committee had met prior to
the Executive Committee meeting and requested Mr. Blanton to present the
items being recommended by that committee.

      Mr. Blanton recommended that the Interim Financial Report for the
period ended January 31, 1976 be accepted and made a matter of record.
It was so moved by Mr. Black, seconded by Mr. Cooper, and passed.

      K. External Auditor for Fiscal Year 1975-76 (FCR 2)

      Mr. Blanton said that the firm of Coopers and Lybrand, Certified
Public Accountants, had done a thoroughly satisfactory job as external
auditors for the past fiscal year and recommended that they be engaged
to examine the accounts of the University of Kentucky and its affiliated

corporations for the fiscal year 1975-76 for a fee of not more than
$50, 000.

       Professor Sears moved approval of the recommendation. His motion
was seconded by Mr. Cooper and passed. (See FCR 2 at the end of the Minutes.)


       L. Resolution Regarding Conversion of Dormitory Electrical
           Service (FCR 3)

       Mr. Blanton explained that the trust indenture securing the University
of Kentucky Housing and Dining System Revenue Bonds requires Board of
Trustees approval of expenditures from funds available in the System Repair
and Maintenance Reserve. Since the available budget resources of the Housing
and Dining System are inadequate to meet the increased cost of installing a 12
KV electric power distribution system, it is necessary to request that an
additional $72, 000 be authorized from Housing and Dining Fund Balances and
payment of $135,499 be made available from the System Repair and Maintenance
Reserve.

       Mr. Cooper moved that the resolution in FCR 3 be adopted. His
motion was seconded by Professor Sears and passed without dissent.

       M. Employer Option for Health Care of Louisville, Inc., (FCR 4)

       Mr. Blanton recommended that approval be given to the recommendation
in FCR 4 which would permit payroll deductions to be made for payment of
premiums for persons enrolled in Health Care of Louisville, Inc., a health
maintenance service. He added that such deductions were allowed for
persons enrolled in the Hunter Foundation, a similar organization in Lexington.

      On motion by Professor Sears, seconded by Mr. Black, and passed,
FCR 4 was approved. (See FCR 4 at the end of the Minutes.)


      N. Collateralization of Bank Accounts (FCR 5)

      Mr. Blanton, after stating that collateralization of University bank
accounts would bring the University into conformity with the state system.
recommended approval of FCR 5.

      On motion by Mr. Black, seconded by Mr. Cooper, and passed, it
was so ordered. (See FCR 5 at the end of the Minutes. )

       Without discussion on motion by Mr. Black, seconded by Professor
Sears, and passed, the report on investment changes for the University of
Kentucky and its affiliated corporations for the quarter ending September 30,
1975 was accepted and made a matter of record. (See ICR 1 at the end of
the Minutes.)


       P. Meeting Adjourned

       After determining there was no further business to come before the
meeting on motion duly made, seconded, and carried, Mr. Griffin declared
the meeting adjourned at 2:24 p.m.
