      Minutes of the Meeting of the Board of Trustees of the University of
Kentucky, Tuesday, December 13, 1977.



       The University of Kentucky Board of Trustees met in regular statutory
session on Tuesday, December 13, 1977, at 3:00 o'clock (Eastern Standard
Time), in the Board Room on the 18th floor of the Patterson Office Tower on
the Lexington campus with the following merrbers answering the call of the
roll: Mr. William B. Sturgill, Chairman, Professor Michael Adelstein,
Mr. William R. Black, Mr. L. D. Gorman, Mrs. Betty Carol Clark, Mr.
Richard E. Cooper, Governor Albert Benjamin Chandler, Mr. George W.
Griffin, Mr. James Newberry, Mrs. Sally Hermansdorfer, Mr. Thomas B.
Kessinger, Mr. Zirl A. Palmer, Mr. Frank Ramsey, Mr. Homer W. Ramsey,
Professor Paul G. Sears, Dr. David A. Hull, and Dr. John R. Woodyard.
Absent from the meeting were Mr. Albert G. Clay and Mr. John R. Gaines.
The University administration was represented by President Otis A. Singletary;
Vice Presidents Lewis W. Cochran, Robert Zumwinkle, Peter P. Bosomworth,
Raymond R. Hornback, Jack C. Blanton, and Donald B. Clapp; Dr. Wimberly
C. Royster, Dean of the Graduate School and Coordinator of Research; Mr.
John Darsie, Legal Counsel; and Dr. Charles Wethington, Assistant Vice
President of Community College System representing Vice President Wall.


       A. Meeting Opened

       Mr. Sturgill called the meeting to order at 3:00 o'clock. A moment
of silence was observed in memory of Coach Rupp, whose funeral had been
held just prior to the meeting of the Board. The invocation was pronounced
by Mrs. Clark, and the Secretary called the roll, reporting 17 members
present. The meeting was then declared officially open for the conduct of
business at 3:05 o'clock.


       B. Minutes Approved

       On motion duly made, seconded and carried the reading of the Minutes
of the October 19, 1977 meeting of the Executive Committee of the Board of
Trustees was dispensed with and the Minutes were approved as published.


       C. President's Report to the Trustees (PR 1)

       After reviewing some of the items in his monthly report to the Trustees,
President Singletary recommended that the report be accepted and filed.
Without objection it was so ordered.

      D. Recommendations of the President (PR 2)

      Recommendations in PR 2 being routine in nature, President Singletary
recommended that it be approved as a whole.

      On motion by Mr. Frank Ramsey, seconded by Mr. Black, and passed
without dissent, PR 2, Recommendations of the President, was approved as a
whole and ordered made an official part of the Minutes of the meeting. (See
PR 2 at the end of the Minutes.)


       E. Degree Candidates - University System (PR 4)

       Without discussion, on motion by Mr. Homer Ramsey, seconded by
Mr. James Newberry and passed, the President was authorized to confer upon
each individual whose name appeared on the list attached to PR 4, the degree
to which he is entitled, upon certification by the Dean of Admissions and
Registrar and approval by the University Senate that the individual has
satisfactorily completed all of the requirements for the degree for which he
has made application. (See PR 4 at the end of the Minutes.)


       F. Budget Revisions for 1977-78 (PR 5)

       On President Singletary's recommendation and without discussion,
on motion by Mr. Palmer, seconded by Mr. Cooper, and passed, the Budget
Revisions for 1977-78 as recommended in PR 5 were authorized and approved.
(See PR 5 at the end of the Minutes.)


       G. Doctoral Program in Communications (PR 6)

       President Singletary indicated that the proposed doctoral program in
Communications had been under consideration for approximately two years.
It has gone through all the various councils of the University, been approved
by each, and now requires Board approval so that it may be transmitted to
the Council on Higher Education for approval by that body. Professor Sears
moved that authorization be given for transmission to the Council on Higher
Education a Doctoral Degree Program in Communications. His motion was
seconded by Mr. Gorman and passed without dissent. (See PR 6 at the end
of the Minutes.)


       H. Associate Degree in Nursing at Southeast Community College (PR 7)

       At the request of President Singletary, Dr. Wethington explained that the
Appalachian Regional Hospital in October 1977 decided to phase out its nursing

diploma program at Harlan, The possibility of converting the diploma nursing
program offered by the hospital to an associate degree program offered by the
Southeast Community College has been under consideration for some time.
However, the action in phasing out the present program was taken sooner than
expected, thus requiring immediate action to get Council approval of an associate
degree program in nursing at Southeast Community College.

       On motion duly made, seconded and carried, authorization was given
for transmission to the Council on Higher Education an Associate Degree Program
in Nursing at Southeast Community College to be started in the fall of 1978.
(See PR 7 at the end of the Minutes.)


       I. Proposed Amendments to the Governing Regulations (PR 8)

       President Singletary explained that the proposed amendments to the
Governing Regulations were presented at this time in order to give the members
of the Board the opportunity to study them. He recommended that the proposed
amendments be received for consideration and, provided at least one month
has elapsed, be put on the agenda for action by the Board of Trustees at its
next regular meeting. Professor Sears so moved. His motion was seconded by
Mr. Homer Ramsey and passed without objection. (See PR 8 at the end of the
Minutes.)


       J. Report on the Results of Alumni Member Election (PR 9)

       President Singletary gave the results of the alumni election as reported
to him by Professor Sears, Secretary of the Board of Trustees, and recommended
that the report be received and put to record and that the Secretary of the Board
be authorized to certify to the Governor the names of the three persons
receiving the largest number of votes from which list a successor to Mr.
Ramsey will be appointed. Governor Chandler so moved. His motion was
seconded by Professor Sears and passed. (See PR 9 at the end of the Minutes.)


       K. Comments on NeoNatal Care

       In fairness to the employees in the University Hospital and to the
f aculty members in the NeoNatal Care Unit who have been unjustly maligned
in recent publicity, President Singletary said he felt he must make some comment
to straighten out the record. The accusation that the faculty or administration
of the University could be using this problem for institutional gain should not
go unchallenged.

       The University of Kentucky recognizes the problem and is desirous
of being a part of its solution, but it is not the cause of it. In fact, the University

has long taken the leadership in pointing out the inadequacies of the facilities
for high risk mothers and new borns in our area. It has encouraged the
development of a plan for a network of secondary facilities which would leave
the University with the responsibility to provide the highest level of tertiary
care at the University Hospital. When these facilities did not materialize
the University attempted to respond by increasing its beds from 17 to 31
even though this seriously compromised other programs.

       Dr. Singletary continued that one must realize that the University
Hospital is a teaching hospital and responsible for providing tertiary care
in many areas. Thus, when one program is expanded, another suffers.
Space, however, is not the only problem; there is also a staff problem.
The care of 31 tiny, very sick babies places a tremendous stress on the staff,
and if more babies than our capacity allows are admitted, the care of
those already admitted is seriously compromised.

       In closing his remarks, President Singletary noted that the problem
is a statewide problem and the solution lies in the providing of sufficient
funding so that selected community hospitals can develop secondary level
nurseries linked to the University of Kentucky Medical Center. He repeated
that the University is eager to be a part of the solution to this problem but that
it cannot solve it alone.


       L. Report on Institute for Mining and Minerals Research

       President Singletary introduced Dean Funk, Director of the Institute
for Mining and Minerals Research, and Dr. David Drake, Director of the
Kentucky Center for Energy Research, and noted that the Insititute and the
Center have developed a very good working relationship.

       Dr. Funk distributed some materials relative to the program being
carried on by the IMMR and illustrated some of the points which he made
with slides.

       Mr. Sturgill thanked Dean Funk and expressed his gratification that
the program has come such a long way in the last ten years.


       M. Interim Financial Report (FCR 1)

       Mr. Griffin, reporting for Mr. Clay, Chairman of the Finance Committee,
recommended that the Financial Report for the period ending October 31, 1977
be accepted. He put his recommendation in the form of a motion which was
seconded by Mr. Cooper and passed. (See FCR 1 at the end of the Minutes.)

       N. Authorization to Execute Lease and Related Documents With
           Lario Oil and Gas Company. (FCR 2)

       Mr. Griffin said that the Finance Committee at its meeting on the morning
of December 13 had discussed the lease and other related documents and believed
that all were in order. Governor Chandler moved that the Vice President for
Business Affairs be authorized to execute a lease, easement, and release of
damages constitutinga series of agreements with Lario Oil and Gas Company
relating to the property in Garvin County Oklahoma coming to the University
from the estate of Violette Renekar, deceased. His motion was seconded by
Mr. Frank Ramsey and passed without dissent. (See FCR 2 at the end of the
Minutes. )


       0. Conveyance of Substation Site to Kentucky Utilities Company (FCR 3)

       Mr. Griffin asked that Mr. Blanton speak to FCR 3. Mr. Blanton
said that the 1.4348 acres which would be conveyed to the Kentucky Utilities
for the sum of $12, 900 was part of a tract of land adjacent to the V. A. Hospital
which had been acquired from the federal government with the understanding
that the property would be held by the University for 20 years. This period
now has expired and the property, which has been used as part of a poultry
demonstration and teaching program, is run down. Dean Barnhart recommends
that it be sold and the proceeds used for another demonstration program. The
conveyance to Kentucky Utilities is the first step in disposing of this property.

       After satisfactory replies to several questions from members of the
Board, on motion by Mr. Homer Ramsey, seconded by Mrs. Clark and passed,
the Vice President for Business Affairs and Treasurer was authorized to
execute a deed conveying the parcel of land containing 1.4348 acres on the
Viley Road in Fayette County Kentucky to Kentucky Utilities Company in
consideration of the sum of $12, 900 as a site for a Utilities Substation. (See
FCR 3 at the end of the Minutes.)


       P. Authorization to Sell Surplus Real Property (FCR 4)

       Mr. Blanton, at Mr. Griffin's request, explained that the University
had purchased some property several years ago that is outside the present
long range land use plan for campus expansion. Since the University does not
have any intended use of the land for future building, it is recommended that
these properties be declared surplus, disposed ofwith the proceeds being
used to acquire properties that are coming on the market which are within
the approved land use plan.

      Several questions were raised by Governor Chandler as to the desirability
of disposing of presently owned land since land use plans could be changed and
several Board members expressed feelings that the University should continue
to hold these 14 parcels as rental property. Mr. Griffin said that the Finance
Committee had considered the alternatives and felt that it was in the best interest
of the University to dispose of this land. Governor Chandler moved that the
matter be referred back to the Finance Committee for further study. His motion
was seconded by Mrs. Clark and passed with one dissenting vote. (See FCR 4
at the end of the Minutes.)


      0. Report of Investments (ICR 1)

      Mr. Griffin moved that the report of changes made in investments for
the University of Kentucky and its affiliated corporations for the quarter ending
September 30, 1977, be accepted. His motion was seconded by Mr. Homer
Ramsey and passed. (See ICR 1 at the end of the Minutes.)


       R. Medical Center Committee

       Mr. Black reported that the Medical Center Committee had met on the
morning of December 13 and received a status report of the study being made at
the Medical Center. The committee will meet again in February.


       S. Meeting Adjourned

       After determining that there was no further business to come before
the meeting, the Chairman called for a motion for adjournment which was duly
made, seconded and carried, and the meeting adjourned at 4:25 o'clock.
