CONSTITUION AND BY-LAWS
(Revised May, 1923)

ARTICLE I.
Name.

This association shall be called the Woman’s Club of
Central Kentucky.

ARTICLE II.
Object.

The object shall be to create among women an organ—
ized center of thought, and action for the promotion of
social, literary, artistic, educational and political growth,
and What relates to the best interests of the community.

ARTICLE III.

Departments.

For the better execution of its object, the Club work
shall be divided into departments, representing different
lines of activity.

ARTICLE IV.
Otficers.

Sec. 1. The officers of the Club shall be a President,
two Vice-Presidents, a Recording Secretary, a Corre-
sponding Secretary, a Treasurer and two Auditors, resi—
dents of the City of Lexington or of Fayette County.
These shall constitute the Executive Committee, who
shall select the Chairman of Departments and the Chair-
men of Standing Committees.

Sec. 2. The Executive Committee shall appoint a Vice-
President from the membership of Fayette, and one from
the membership of each county contiguous to Fayette.

Sec. 3. The Executive Committee, the County Vice—
Presidents, the Chairmen of Departments, and the Chair—
men of Standing Committees 'shall constitute the Board
of Directors. This Board shall transact the business of
the Club, and shall have power to fill vacancies occurring
in its own body during the interim between elections.

ARTICLE V.
Nomination and Election of OEicers.

Sec. 1. The Executive officers shall be elected by bal-
lot of a meeting held annually on the first Saturday in
March, and shall be installed in office on the last meet-
ing of that Club year. The first meeting of the Club-
year shall be held on the first Saturday in October.

Sec. 2. A Committee on Election shall be appointed
by the Board to consist of three members of the Club,
who shall serve as tellers at the annual meeting, and
shall have power to choose assistants. The chairman of
this committee shall be the Corresponding Secretary. A
blank ballot shall be mailed to each member of the Club
two weeks preceding election, and shall be filled in and
returned to the Corresponding Secretary. The names of
the three persons receiving the highest number of votes
for each office shall be presented at the annual meeting,
and the candidates receiving a majority of the votes of
those present at said annual meeting shall be declared
elected.

ARTICLE VI.
Duty of Officers.

Sec. 1. The President shall preside at all business
meetings of the Club, preserve order, enforce all laws
and regulations, have general supervision of the interest
of the Club, and perform such other duties as are inci-
dent to the office.

See. 2. The Vice—President, senior in order of election
and present at the opening of the meeting, shall perform
the duties of the President in case of her absence.

Sec. 3. The Recording Secretary shall take notes of
the proceedings of the Club, make true entries in her
book of all things done and passed, and read the same
at each business meeting. She shall have charge of all
books and papers of the Club, except those belonging to
the Treasurer, or to any of the committees, and shall
perform such other duties as are incidental to her office.

Sec. 4. The Corresponding Secretary shall conduct
and have charge of the general correspondence of the
Club. She shall keep a record of all official communica-
tions sent out by her, and all communications received
by her for the Club. She shall sign and seal all notices
and invitations, and notify all persons of their election
to membership or office.

See. 5. The Treasurer shall collect all money for dues,
initiation fees, guest tickets and badges. All money re-
.ceived by her shall be deposited in the name of the Club
in such bank as she may select, and shall be drawn out
only by her check as Treasurer. The Treasurer shall
at the first Board meeting in the month make a state-
ment of the finances and at the annual meeting she shall
make an annual report. She shall keep account of all
moneys received and paid out, and her books shall be at
all times open to the inspection of the Board of Direc—
tors. On first day of February of current year she shall
furnish to Corresponding Secretary a list of paid-up
members.

Sec. 6. The Auditors shall audit all bills and accounts
of Treasurer, and report in writing at the annual meet-
ing Whether they are correct.

Sec. 7. No person shall hold more than one official
position at any time, nor shall serve for a longer period
than two consecutive terms in the office to which she
may be elected. No officer may be chairman of a de—
partment. '

ARTICLE VII.
Membership.

Sec. 1. Qualifications for membership shall be
character, intelligence and reciprocityA

Sec. 2. It shall be the privilege of each member in
good standing to propose the names of candidates during
each Club year.

See. 3. The President shall appoint a Committee on
Membership, consisting of three persons, whose names
shall be known only to the President, and this com—
mittee shall receive all proposals for membership, and
shall make all proper inquiries concerning qualifications
of each individual, and shall send the names of all de-
sirable candidates to the President, and at the next
meeting of the Board these names shall be submitted
for confirmation, for which a two-thirds vote of the
Directors shall be necessary, and each name shall be
voted on by a separate secret ballot.

Sec. 4. To become a member of the Club the name
of the candidate, with full address and qualifications
for membership, must be proposed in writing by a mem—
ber of the Club. The name of a candidate proposed for
membership, and her address must be enclosed in a
sealed envelope, with the name of the endorser, and sent
under cover to the President, who shall not be informed
of the name either of the candidate or of her endorser,
but shall transmit the sealed envelope to the Committee
on Membership.

Sec. 5. Every member of the Committee on Member-
ship and every Director shall be in honor bound to
keep secret the names of persons proposed until the
same shall have been elected to membership, nor shall
the name of a defeated candidate ever be divulged by
the Board outside thereof, or by any member of the
Committee on Membership. No Director shall be at
liberty to state the nature of her vote, or how another"

voted.

Sec. 6. Daughters of members between the ages of
twelve and sixteen may be admitted to the Club with—
out being voted upon and upon the payment of half the
usual dues. They shall be entitled to all privileges ex-
cept holding office and voting in the business affairs of
the Club.

ARTICLE VIII.
Dues.

Sec. 1. The annual fee of five dollars shall be paid
to the Treasurer by each member of the Club at the
business meeting in October, or Within sixty days there-
after.

Sec. 2. New members entering the Club at any time
during the Club year shall pay an initiation fee of two
dollars, dues five dollars.

Sec. 3. A failure to pay dues shall render the payment
of initiation fee of $2.00 necessary for reinstatement.

Sec. 4. Resignation of membership should be made
in writing to the President.

ARTICLE IX.

Sec. 1. This Constitution may be amended by a two~
thirds vote of any meeting, notice of such intention

BY-LAWS

 

ARTICLE 1.
Regular Meetings.

Sec. 1. The business meeting of the Club shall be held-
on the first Saturday afternoon of each month during the
Club year of nine months, from October to June.

Sec. 2. Special meetings may be called by the Presi—
dent at the request of two or more Directors.

ARTICLE II.
Department Chairmen.
Sec. 1. The Chairmen of Departments shall be
selected by the Executive Board and their names an-
nounced on the last meeting of the Club year.

Duties of Chairman.

Sec. 2. It shall be the duty of chairmen to select the
members of their committee according to their special
requirements and with the aid of their committee to
arrange the programs for the Club in the order de—
termined by the Board of Directors.

Sec. 3. The chairman of each department shall pre-
side over the meetings of her department and shall
report the work of her departments at the last Club
meeting of the year.

ARTICLE III.
Standing Committees

Sec. 1. The Standing Committees of House, Hospi—
tality, Special Features, Press and Finance, each con-
sisting of at least three members of the Club, shall be
appointed by the Board of Directors.

House.

Sec. 2. The House Committee shall have charge of

the Club rooms.

Hospitality.

Sec. 3. The Committee on Hospitality shall have
charge of the social meetings to be held at the dis—
cretion of the Board of Directors, the object of such
meetings being to entertain distinguished guests and to
extend the influence of the Club in Central Kentucky.

Special Features.

Sec. 4. It shall be the duty of ,the Committee on
Special Features to provide entertainments, teas and
social features to be determined by the Board of
Directors.

. Press.

Sec. 5. The Press Committee shall attend to the press
notices of the Club.
Finance
See. 6. It shall be the duty of the Finance Committee
to sublet rooms in the Club building and collect rent
for the same.

ARTICLE IV.
GUEST TICKETS.

Sec. 1. The Directors issue tickets to admit guests to
any meeting of the Club or departments or classes, and
members may obtain such tickets from the Treasurer on
payment of twenty-five cents. Two complimentary
guest tickets may be issued to each essayist or speaker
of the day. Non-resident members of similar associa-
tions shall be the guests of the Club. Six guest tickets
shall be issued to each chairman of a department for
each meeting of her department.

Sec. 2. The President of the Club shall have six
tickets at her disposal for each meeting of the Club.

See. 3. An admission fee at the door may be pro-
vided for by the Board of Directors for any special
meeting.

Sec. 4. The guest register shall be kept by the House
Committee.

ARTICLE V.
Quorum.

Sec. 1. Twenty members shall constitute a quorum at
any regular or duly called meeting of the Club.

Quorum Board of Directors.

Sec. 2. One-third of the Board of Directors shall con-
stitute a quorum for the transaction of business. The
Board of Directors is required to have a stated place
and time of meeting, and shall provide such rules for
its government as may be necessary.

ARTICLE VI.
Board of Directors Shall Keep Account of Its Acts.
Sec. 1. The Board of Directors shall keep a correct
account in the books kept for such purpose of all its acts,
except when a candidate for membership is rejected, and
the same shall at all times be open to the inspection of
any member of the Club.

ARTICLE VII.

Sec. 1. No money shall be paid out on account of the
Club unless ordered by the Board of Directors.

ARTICLE VIII.
Manual.

Sec. 1. The deliberations of the meetings of the Club
shall be governed by Roberts’ Rules of Order on all
points not covered by this Constitution.

ARTICLE IX.
Amendments.
Sec. 1. These By-Laws may be amended by a two—

thirds vote at any meeting, notice of such intention
