    Minutes of the Meeting of the Board of Trustees of the
University of Kentucky, Tuesday, September 21, 1982.



    The Board of Trustees of the University of Kentucky met in
regular statutory session at 2 p.m. (Eastern Daylight Time) on
Tuesday, September 21, 1982 in the Board Room on the 18th floor
of the Patterson Office Tower on the Lexington campus.

    A.   Meeting Opened and Oath of Office Administered

    Mr. William B. Sturgill, Chairman, called the meeting to
order at 2 p.m. and the invocation was pronounced by Mr. Brereton
C. Jones. Mr. Sturgill welcomed the new members of the Beard of
Trustees and requested Mr. John C. Darsie, General Counsel, to
administer the oath of office to the following:

    Mr. George W. Griffin, Jr., appointed by Governor
    John Y. Brown, Jr. to replace Mr. Thomas B. Kessinger,
    for a six-year term expiring June 30, 1988.

    Mr. James W. Dinkle, who will serve as student trustee
    for the 1982-83 academic year.


    B.   Roll Call

    The following members answered the call of the roll: Mr.
William B. Sturgill, Chairman, Governor Albert Benjamin Chandler,
Mrs. Betty Pace Clark, Mr. Albert G. Clay, Professor Opal Skaggs
Conley, Mr. James W. Dinkle, Mr. Tracy Farmer, Mr. Ronald G.
Geary, Mr. George W. Griffin, Mrs. Edythe Jones Hayes, Mr.
Brereton C. Jones, Mr. R. Larry Jones, Mr. W. Terry McBrayer, Mr.

Dr. Donald B. Clapp, Vice President for Administration;
Chancellors Peter P. Bosomworth, Art Gallaher, and Charles T.
Wethington; Dr. Raymond R. Hornback, Vice President for
University Relations; Mr. John C. Darsie, General Counsel; Mr.
Henry Clay Owen, Controller and Treasurer; Mr. David I. Carter,
Special Assistant for Business and Financial Affairs; Dr. Paul G.
Sears, Special Assistant for Academic Affairs; and Dr. Wimberly
C. Royster, Dean of the Graduate School and Coordinator of
Research. Members of the various news media were also in
attendance. The Secretary, Mrs. Clark, reported a quorum
present, and the Chairman declared the meeting officially open
for the conduct of business at 2:05 p.m.

    C.   Minutes Approved

    The Minutes of the August 10, 1982 meeting of the Executive
Committee of the Board of Trustees were approved without
objection.

    D.   Nominating Committee Report

    Under the Governing Regulations, officers of the Board and
the Executive Committee are elected annually at the September
meeting. Mr. Sturgill, who had appointed a Nominating Committee
which was composed of Mr. William Black (Chairman), Professor
Opal Conley, and Mr. Frank Ramsey, called on Mr. Ramsey, in the
absence of Chairman Black, to present the committee's
recommendations.

    Mr. Ramsey placed in nomination the name of Mrs. Betty Pace
Clark for Secretary of the Board and moved acceptance of the
nomination. Mr. McBrayer moved that nominations cease and
seconded Mr. Ramsey's motion which passed without dissent.

    Mr. Ramsey next placed in nomination for Vice Chairman the
name of Mr. Albert G. Clay and moved acceptance of the
nomination. Mr. Miles moved that nominations be closed. Mr.
Griffin seconded Mr. Ramsey's motion which passed without
dissent.

    Mr. Ramsey then placed the name of Mr. William B. Sturgill in
nomination for Chairman of the Board and moved acceptance of the
nomination. Mr. Larry Jones moved that nominations be closed.
Mr. Ramsey's motion was seconded by Mr. Clay, and Mr. Sturgill
was elected Chairman of the Board without dissent.

    Mr. Ramsey continued his report by placing in nomination for
membership on the Executive Committee the names of Mr. William B.
Sturgill, Mr. Albert G. Clay, Mr. William R. Black, Mr. A.
Stevens Miles, and Mr. Tracy Farmer, with Mr. Sturgill as
Chairman. There being no nominations from the floor, on motion
by Mr. McBrayer, seconded by Mrs. Clark and passed, the slate was
elected as proposed.

    E.   Committees Appointed

    Mr. Sturgill announced the following committee appointments
for 1982-83:

   F.   President's Report to the Trustees (PR 1)

   After calling attention to the fall enrollment, estimated at
44,900, President Singletary recommended acceptance of his
monthly report to the Trustees. Without objection, it was so
ordered.

    G.   Personnel Actions (PR 2)

    In presenting the appointments and staff changes in PR 2,
President Singletary said he was pleased to recommend the
following administrative appointments in Central Administration:
Ms. Karen T. Combs, Director of the Budget, and Ms. Joan E.
McCauley, Director of Planning and Policy Analysis. Ms. Combs
and Ms. McCauley, who were present at the meeting, were
introduced.

    On motion by Mr. Ramsey, seconded by Professor Wilson and
passed, the appointments and staff changes as recommended in PR 2
were approved. (See PR 2 at the end of the Minutes.)

    H.   Appointment of Executive Director, McDowell Cancer
Network (PR 3A)

    President Singletary indicated his pleasure in recommending
the appointment of Dr. Gilbert H. Friedell as Executive Director,
McDowell Cancer Network, effective July 1, 1983. Chancellor
Besomwerth, at the request of President Singletary, reviewed Dr.
Friedell's career, and said he was pleased to endorse his
recommendation. Dr. Friedell, currently Medical Director, St.
Vincent Hospital, and Professor of Pathology at the University of
Massachusetts Medical School, was present at the meeting and
introduced.

    On motion by Mr. Clay, seconded by Mr. Larry Jones and passed
unanimously, Dr. Gilbert H. Friedell was named Executive
Director, McDowell Cancer Network, effective July 1, 1983. (See
PR 3A at the end of the Minutes.)

    I.   Dr. Tim Lee Carter Recognized

    President Singletary recognized Dr. Tim Lee Carter,
distinguished Kentuckian and physician from Tompkinsville, and
former United States Congressman from Kentucky's Fifth District.
Earlier this year, President Reagan appointed Dr. Carter Chairman
of the National Cancer Advisory Board, and Dr. Carter's presence
was in recognition of the nomination of Dr. Friedell. Dr. Carter
spoke briefly and indicated his pleasure at his appointment to
the National Cancer Advisory Board. He declared his intention in
that capacity to support institutions such as the medical schools
at the University of Kentucky and the University of Louisville,
and other medical schools and cancer hospitals.

    J.   1982-83 Budget Revisions (PR 3B)

    Noting that the proposed revisions in the 1982-83 budget were
routine, President Singletary recommended approval. On motion by
Professor Conley, seconded by Mr. Dinkle and passed, the proposed
budget revisions were authorized and approved. (See PR 3B at the
end of the Minutes.)

    K.   Acceptance of Gift from the Knight Foundation (PR 3C)

    President Singletary expressed his pleasure in recommending
that the Board of Trustees accept the $150,000 gift from the
Knight Foundation. On motion by Mr. Clay, seconded by Mr.
Griffin and passed unanimously, the Board of Trustees accepted
the $150,000 grant for the John S. and Elizabeth Augustus Knight
Fellowship in Veterinary Science. (See PR 3C at the end of the
Minutes.)

    L.   Updated and Editorially-Revised University of Kentucky
Governing Regulations (PR 3D)

    With President Singletary so recommending, on motion by Mrs.
Hayes, seconded by Mr. Geary and passed without dissent, the
updated, editorially-revised University of Kentucky Governing
Regulations as recommended in PR 3D were received and approved.
(See PR 3D at the end of the Minutes.)

    M.   Candidates for Degrees - Community College System (PR
4A)

    Without discussion, Mr. Ramsey moved that the degrees and
certificates specified in PR 4A be awarded to the persons named,
upon certification that the requirements for those degrees or
certificates have been satisfactorily completed. His motion was
seconded by Professor Conley and passed without dissent. (See PR
4A at the end of the Minutes.)

    N.   Patent Assignment (PR 5A)

    President Singletary recommended approval of the routine
patent assignment as presented in PR 5A. On motion by Mr.
McBrayer, seconded by Mr. Miles and passed without dissent, PR 5A
was approved. (See PR 5A at the end of the Minutes.)

    0.   Designation of Depository Banks (FCR 1)

    Mr. Clay, Chairman of the Finance Committee, reported the
committee met on the morning of September 21 to consider four
items to be presented to the Board of Trustees at its meeting.
He then moved that the Board designate each of the banks listed
in FCR 1, Attachment A, to serve as a depository bank for the
University of Kentucky and/or its affiliated corporations. Mr.
Clay's motion was seconded by Mr. Larry Jones and passed with Mr.
Miles abstaining. (See FCR 1 at the end of the Minutes.)

    P.   Acceptance of Audit Reports for the University for 1981-
82 (FCR 2)

    The Finance Committee so recommending, Mr. Clay moved that
the Board of Trustees accept the University of Kentucky Cash
Reconciliation and the summary audit report of the financial
records of the University of Kentucky for the fiscal year 1981-
82, consisting of the Accountant's Report from the Commonwealth
of Kentucky Auditor of Public Accounts, Balance Sheets, Statement
of Current Funds Revenue, Expenditures and Transfers, Statement
of Changes in Fund Balances, Summary of Significant Accounting
Policies, and Notes to the Financial Statements. Mr. Clay noted
that a comprehensive annual financial report will be submitted at
a later date. Mr. Clay's motion was seconded by Mr. Griffin and
carried without dissent. (See FCR 2 at the end of the Minutes.)

    Q.   Excess Optional Life Insurance Premiums (FCR 3)

    Mr. Clay moved that approval be given for distribution to
employees or former employees the life insurance refund recently
received from Commonwealth Life Insurance Company as recommended
in FCR 3. His motion was seconded by Mr. Miles and passed
without dissent. (See FCR 3 at the end of the Minutes.)

    R.   Lease of Property at Southeast Community College (FCR 4)

    Mr. Clay moved that the Board of Trustees approve a five-year
lease at one dollar per year of approximately 6.5 acres of
property at Southeast Community College to the Greater Cumberland
Corporation to be used as a park. Mr. Clay's motion was seconded
by Mrs. Clark and passed without dissent. (See FCR 4 at the end
of the Minutes.)

    S.   Report on Appointment of Fiscal Agents Under HB 622

    Mr.  Owen  explained   the new procedures under House Bill 622
for the  selection  of  fiscal  agents  for  bond   projects,  and
reported   that  First  Kentucky  Securities   Corporation  having
submitted the lowest and best proposal had been selected as
fiscal agent for the $7.6 million Community College bond issue.

    T.   Authorization to Sell or Assign Securities (ICR 1)

    Acting on the recommendation of the Investment Committee, Mr.
Geary moved that the Treasurer of the University be authorized to
assign, sell, or otherwise dispose of securities owned by the
University and its affiliated corporations under supervision     of
the Investment Committee in accordance with policies previously
adopted by  the  Board  of  Trustees.   Mr.  Geary's   motion  was
seconded by Mr. McBrayer and passed without dissent. (See ICR 1
at the end of the Minutes.)

    U.   Report of Investments (ICR 2)

    Without discussion, on motion by Mr. Geary, seconded by Mr.
Farmer and passed, the report of changes made in investments    for
the  University  of  Kentucky and its affiliated corporations for
the quarter ended June 30, 1982 was accepted.    (See ICR 2 at  the
end of the Minutes.)

    V.   Policy  Recommendation   -  The Trustee Committee for the
Future of Robinson Forest (RFCR 1)

    Mr. Miles thanked the members of the committee who served
with him, Mrs. Betty Pace Clark, Professor Constance Wilson, Mr.
Brereton Jones, and Mr. Albert Clay. He then read the report of
the committee (attached to RFCR 1) and submitted it to the
Secretary  for   filing.   Mr. Sturgill asked that the record show
the report was accepted. Thereupon, Mr. Miles moved that the
policy recommendation in RFCR 1 be approved by the Board and made
a matter of record. His motion was seconded by Mr. Clay.

    The Chair recognized Mr. Dinkle who moved that the phrase
"under present circumstances" be deleted from the resolution
recommended by the Trustee Committee for the Future of Robinson
Forest.  He stated that deletion of the phrase had been    approved
by  the  General   Student  Assembly.    Mr.  Dinkle's   motion   was
seconded by Professor Wagner but was defeated by voice vote.

    The  motion  which had been made by Mr. Miles and seconded by
Mr. Clay was voted on, and carried unanimously.

    Mr. Sturgill expressed the sincere appreciation and thanks of
the Chair and the Board to Mr. Miles and the Trustee Committee
for the Future of Robinson Forest for their time and effort spent
on this committee assignment and for their splendid    work.    (See
RFCR 1 at the end of the Minutes.)

    W.   Report on Selective Admissions Policy

    President Singletary reminded the Trustees that some time ago
the Board adopted broad guidelines for a program of selective
admissions, to begin with the 1983 Fall Semester. However, he
pointed out that a delay is almost inescapable. A Council on
Higher Education committee has given preliminary approval to a
proposal for revised minimum admission guidelines for all state
universities. This proposal raises questions and includes points
that the University has not considered in setting its own policy.
He added that the University does not want to rush implementation
of a complex policy just to meet an arbitrary deadline; neither
does it want to adopt a "piecemeal" policy. Therefore, he
informed the Board that it is possible the new selective
admissions policy may have to be deferred for one year.

    X.   Meeting Adjourned

    There being no further business, the meeting was adjourned at
2:45 p.m.
