       Minutes of the Meeting of the Board of Trustees of the University
of Kentucky, Tuesday, December 9, 1975.



       The Board of Trustees of the University of Kentucky met in regular,
statutory session at 4:00 p.m. (EST) on Tuesday, December 9, 1975, in
the Board Room on the 18th floor of the Patterson Office Tower on the Lexington
campus with the following members answering the call of the roll: Professor
Michael Adelstein, Mr. William R. Black, Mr. Stanley Burlew, Mrs. Robert
0. Clark, Mr. Albert G. Clay, Mr. Richard E. Cooper, Mr. John R.
Crockett, Mr. George W. Griffin, Mr. James Harralson, Mrs. David
Hermansdorfer, Mr. Thomas B. Kessinger, Mr. Zirl A. Palmer, Mr.
Frank Ramsey, Mr. Homer W. Ramsey, Professor Paul G. Sears, Mr.
William B. Sturgill, Mr. James A. Sutherland, and Dr. John R. Woodyard.
Absent from the meeting was Mr. John R. Gaines. Members of the University
administration present included President Otis A. Singletary; Vice Presidents
Lewis W. Cochran, Robert Zumwinkle, Raymond R. Hornback, Jack Blanton,
and Donald B. Clapp; Mr. John Darsie, Legal Counsel; and Dr. Howard
Bost, representing Vice President Peter P. Bosomworth. Representatives
of the various news media were also in attendance.


       A. Meeting Opened

       The Chairman, Mr. William B. Sturgill, called the meeting to
order at 4:20 p.m. After the invocation, pronounced by Mr. Black, the
Secretary called the roll and reported 18 members present and one absent.
A quorum being present, the Chairman declared the meeting open for the
official conduct of business at 4:23 p.m.


       B. Minutes Approved.

       On motion duly made, seconded, and carried, the reading of the
Minutes was dispensed with and the Minutes for the October 7, 1975,
meeting of the Board of Trustees were approved as published.


      C. President's Report to the Trustees

      In the interest of saving time, President Singletary suggested that
the members of the Board read his monthly report in lieu of an oral presentation
and recommended its acceptance. The Chairman accepted the report, and
it was ordered filed.




 










D. Recommendations of the President (PR 2)



       Mentioning that PR 2, Recommendations of the President, contained
only routine personnel changes and the quarterly report on gifts and/or grants
received by the University, President Singletary recommended approval
of PR 2 as a whole. Mr. Cooper so moved. His motion was seconded
by Mr. Frank Ramsey and, without dissent, PR 2 was approved as a whole
and ordered made an official part of the minutes of the meeting. (See
PR 2 at the end of the Minutes. )


       E. Supplemental Recommendations of the President (PR 3-I)

       Since the resignation of Mr. James 0. King in October, the University
has conducted a nation-wide search for a replacement for him. As a result
of this search, President Singletary said that it was the unanimous decision
of those involved that Dr. Peter Fitzgerald, Assistant to the President at
the University of Maine, was the best person available and recommended
that Dr. Fitzgerald be named Director of the Office of Policy and Operations
Analysis effective on or before February 16, 1976. At the request of the
President, Dr. Clapp gave a brief resume of Dr. Fitzgerald's qualifications
for the position. He concluded his remarks by mentioning the fact that
the title for the job had been changed, adding that the change in title did
not change the function of the office.

       The Chairman, having determined there were no questions or
discussion, called for a motion to approve the recommendation that Dr.
Peter Fitzgerald be named Director of the Office of Policy and Operations
Analysis effective on or before February 16, 1976. Mrs. Clark so moved.
Her motion was seconded by Mr. Homer Ramsey and passed without dissent.

       F. Supplemental Recommendations of the President (PR 3-II)

       The second part of PR 3 included an extension of leave for special
assignment with State government for Mr. Jack B. Hall for an additional
year (January 3, 1976-January 3, 1977) and the reappointment of Mr. Joseph
T. Burch as Acting Dean of Students from January 3, 1976 to July 1, 1976
or until such time as a permanent Dean of Students might be named, whichever
might come first. President Singletary recommended approval of Mr. Hall's
leave and Mr. Burch' s reappointment.

       In the discussion which followed it was made clear that Mr. Hall's
position as Dean of Students and Assistant Vice President for Student Affairs
would not be left open for him. A search for a permanent Dean of Students
will begin immediately and hopefully the position will be filled prior to the
end of the current academic year.

       The Chairman called for a motion for approval of President Singletary' s
recommendation relative to Mr. Hall's leave and Mr. Burch's reappointment.
The motion was made by Professor Sears and seconded by Mr. Harralson with
all present voting aye. (See PR 3-IS at the end of the Minutes.)


       G. Candidates for Degrees-University System (PR 4)

       President Singletary pointed out that the recommendation for approval
of the awarding of degrees in the University System was for those persons
completing their work at the end of the current semester and recommended
approval of the persons whose names appeared on the list attached to PR 4.

       On motion by Mr. Palmer, seconded by Mr. Cooper and passed,
the President was authorized to confer upon each individual whose name
appeared on the list the degree to which he is entitled upon certification
by the Dean of Admissions and Registrar and approval by the University
Senate that the individual has satisfactorily completed all requirements of
the degree for which he has made application. (See PR 4 at the end of the
Minutes.)


       H. Candidates for Degrees-Community College System (PR 5)

       Approval of recipients of degrees and certificates in the Community
College System must be given by the Board of Trustees, and President
Singletary recommended that such approval be given to the persons scheduled
to complete requirements of the specified degrees in December upon.certification
by the appropriate officials that such requirements had been completed. The
list of names was attached to PR 5.

       On motion by Mr. Black, seconded by MNr. Griffin, and passed, the
awarding of the degrees and certificates specified on the attached list be
awarded to the persons named upon certification that the requirements for
those degrees or certificates have been satisfactorily completed. (See PR 5
at the end of the Minutes. )


       I. Budget Revisions for 1975-76 (PR 6)

       President Singletary recommended approval of PR 6, Revisions in
the 1975-76 Budge, noting that they were all routine in nature. There being
no questions, on motion by Mr. Homer Ramsey, seconded by Mr. Frank
Ramsey, and passed, the budget revisions for 1975-76 were authorized and
approved. (See PR 6 at the end of the Minutes.)

       J. Proposed Amendments to the Governing Regulations (PR 7)

       President Singletary noted that certain proposed amendments to the
Governing Regulations had been received at the September meeting of the
Board of Trustees and tabled at that time for action at a later meeting. He
said that the required month having elapsed, it was now appropriate to
remove the proposed amendments from the table and act upon them.

       Professor Sears said that he would like to recommend two langugage
changes on page two under "b. Faculty Assemblies". In the underscored
section he recommended changing the wo1ri "librarians" to "librarianship"
and "counselors" to "counseling" so that the recommended change would now
read, "Full time faculty members devoting more than fifty percent of their
effort to teaching, librarianship, and counseling are eligible for membership
in the Faculty Assembly. Other members of the faculty may become members
upon invitation by a majority of the members of the Assembly. "

       Dr. Adelstein moved that the language changes recommended by
Professor Sears be accepted. His motion was seconded by Mr. Harralson
and passed without dissent.

       The Chairman then called for a motion on the adoption of the proposed
amendments to the Governing Regulations as amended. Dr. Adelstein moved
that the proposed amendments to Parts V; VII-A-8-b as amended, VII-B-8;
VII-B-9; VIII-A-3; and X-B-1 of the Governing Regulations received and
tabled at the September 16, 1975 meeting of the Board of Trustees be
removed from the table and approved. His motion was seconded by Mr.
Clay and passed without dissent. (See PR 7 at the end of the Minutes.)


       K. Retirement Resolution (PR 8)

       At President Singletary's request Mr. Darsie discussed the proposed
amendment to the Retirement Resolution saying that it could best be described
as "walk-away" retirement. Under present regulations a person must work
until age 65 in order to receive supplemental retirement income. The proposed
amendment would permit University personnel who would otherwise qualify
for supplemental retirement income except that they had not attained age 65
to terminate their employee status on or after attainment of age 60 without
forfeiture of accrued benefits, subject to certain specified conditions as
set forth in PR 8. However, payment of benefits would not begin until age
65.

       Professor Sears said there had been considerable discussion among
the faculty and staff members of the University about the desirability of such

a change and he felt it would be welcomed by University personnel. There
being no further discussion, on motion by Mr. Sutherland, seconded by
Mr. Kessinger, and passed, the recommendation in PR 8 was approved as
presented. (See PR 8 at the end of the Minutes.)


       L. Amendment of Trust Created by Will of Phil E. Richards, Deceased
           (PR 9)

       After a brief explanation by Mr. Darsie, it was moved by Mr. Homer
Ramsey, seconded by Dr. Woodyard, and passed, that the President be
authorized and directed to execute, on behalf of the University, an Amend-
ment of a Trust created by virtue of the provision of Article X of the
Will of Phil E. Richards, deceased, who died on May 8, 1972, leaving a
remainder interest in his property to the University. (See PR 9 at the end
of the Minutes. )


       M. Information Item

       President Singletary said this concluded his part of the agenda but,
before yielding the floor, he wished to make two announcements which would
be of interest to members of the Board.

       1. The resignation of Dr. George Hardy as Dean of the College of
Law, effective July 1, 1976, to become Dean of the Bates College of Law
at the University of Houston. President Singletary noted that Dean Hardy
has done a good job here and he regretted to see him go; however, that
is the danger inherent in bringing good young people to an institution in that
other institutions soon seek them out and entice them away.

       2. The gift by Mr. and Mrs. James C. Givens of Hopkinsville and
Mr. and Mrs. Marvin Friedman of Nashville of a motel near Madisonville
to the University of Kentucky. The motel, which until recently was part of
the Holiday Inn system, has 62 rooms, dining area, kitchen, lobby, and
swimming pool, situated on about three acres of ground.

       The University is most grateful for this generous gift and it will
be used in conjunction with the Madisonville Community College and as a
continuing education center in Western Kentucky for such professional fields
as Engineering, Medicine, Law, Mining Technology, and others.


      N. Interim Financial Report (FCR 1)

      Mr. Clay said that the Finance Committee had not met prior to the
Board meeting, but that a telephone canvass of its menbers had resulted

in a unanimous committee recommendation that the Interim Financial Report
for the period ending October 31, 1975, be accepted and ordered made a
matter of record, and he so moved. His motion was seconded by Mr.
Harralson and passed without dissent. (See FCR 1 at the end of the Minutes.)


       0. Meeting Adjourned

       After determining that there was no further business to come before
the meeting, the Chairman called for a motion for adjournment. The motion
being duly made, seconded and carried, the meeting adjourned at 4:45 p. m.
