    Minutes of the Meeting of the Executive Committee of the. Board
of Trustees, University of Kentucky, November 22, 1944.

     The Executive Committee of the Board of Trustees of the Universi-
ty of Kentucky met in the President's Office at 10:15 a.m., Wednesday,
November 22, 1944.   The following members were present:   Judge R.C.
Sto, J. C. Everett, H. S. Cleveland, H. D. Palmore and R.P.Hobson.
-resident H. L. Donovan and Comptroller Frank D. Peterson, Secretary,
were also present.


    A. Approval of Minutes.

    The minutes of the meeting of the Executive Committee of October
21, 1944, were approved as published.


     B. Claim of the Mawen Motor Corporation.

     President Donovan stated that the Executive Committee on Octo-
ber 21 appointed a committee composed of H. D. Palmore, A. J. Mayer
and D. V. Terrell, to appraise and evaluate the equipment and sup-
plies, in the University of Kentucky Aeronautical Research Laborato-.
ry, owned by the Mawen Motor Corporation.   He further stated that
the Executive Committee of the Board, on June 13, 1944, entered into
an agreement with the Mawen Klotor Corporation for the cancellation
of the operating lease agreement then held by the Mawen Motor Corpo-
ration and that the cancellation agreement stipulated that an audit
of the rec6rds of the Mawen Motor Corporation would be made which
would reveal the status of the corporation, as of June 30, 1944,
same bcing the date upon which the operating lease agreement was
ctncelled.   The cancellation agreement further provided, after the
audit was completed, the Mawen Motor Corporation would consider and
discuss with the University the matter of whether the Mawen IMiotor
Corporation would sell or lease to the University, at an acceptable
prico and on acceptable terms, equipment and materials belonging to
the corporation and located in the Aeronautical Research Laboratory
on the campus of the University.   The officials of the Mawen Motor
Corporation were available for discussion with the Executive Commit-
tee and would be glad to come before the Committee upon request to
discuss the question of selling to the Univcrsity testing equipment,
office furniture, machinery, supplies and instruments.   Mr. J, L.
Kilduff, president of the Mawen Motor Corporation, and Mr. J. C. Grl-
vin, secretary find treasurer of the corporation, were invited to
enter the meeting.

      President Donoven briefly outlined to the group the purpose
of the joint discussion and presented the report of Ilessrs, Palmore,
Mieyer ind Terrell, which sets forth the appraised value of the ecuip-
ment, office furniture end testing' apparatus now in the Aeronautic1l
Research Laboratory belonping to the Mawen Motor Corpor-tion.    The
committee made certain recommendations as to the va:lue of the ecuip-
ment, etc., and for the purchase of same.   The report was read and
exv.mined by a.1l parties concerned.

Gentlemen:

     Your committee appointed for the purpose of appraising
and evaluating the equipment and supplies at the University
of Kentucky, Aeronautical Research Laboratory, owned by the
Mawen Motor Corporation, wishes to submit the following re-
port:

     (1) Mr. A, J. Meyer supplied the committee with a
complete inventory, a copy of which is attached hereto, also
a breakdown showing the items he needs to continue operation,
the items wanted for future use, expendable items, and those
items not wanted.

     (2) The items marked not wanted are of a peculiar na-
ture and are suitable only for testing the Mawen engine.

     (3) The items marked wanted can be used at a later date,
but they are not necessary at present for the operation of
the laboratory.

     (4) In general, the equipment has been in use three to
four years and we have taken into account a reasonable depre-
ciation.

     (5) In our attempt to arrive at a fair price the com-
mittee has considered the expense to the Mawen Corporation
of taking out, transporting and selling the equipment; also
the fact that some of the listed material has already been
expended.  As &-ainst this, it has considered the cost to
the University of purchasing and installing replacement equip-
ment and also the fact that some of the Items may become avail-
able to the University from surplus war equipment.

     (6) In view of the fact that the laboratory is now equipped
and that the items shown in column (1) are neeled at present,
and that items in (2) and (3) will be needed in future works
the committee recommends as a fair value, to all concerned,
for items in columns (1), (2) and (3) the sum of $17,039.14.

     (7) It is our understanding that the Board has already
 agreed to purchase on invoice of the General Stores (expend-
Etle supplies figured at cost) in the amount of $1592.18.

     (8) In the case of the item "Invoice for Oil Test No.3",
the committee recommends that the Mawen Motor Corporation be
paid the sum of $3t3O9o32 which is represented by the cost
to Mawen of $2 058.72 plus one half of the claimed overhead
and profit or 01,250.32,




 








     (9) The Committee recommends that the Mawen Motor
Corporation be paid the sum of $2,699.91 for the actual
cost of instruction for the Army Specialized Training Pro-
gram.

     (10) The University is entitled to the following credit:

                 Electrical Bill .......$1,059.45
                 Water bill   ............ 2.390.70
                           Total  ...... $3j450o15


     (11) The sum of $19,598.22 is recommended by the committee
.fls the amount due Mawen Motor Corporation as final settlement.
This amount does not include item (7).
