CONSTITUTION AND BY-LAWS

 

ARTIICDE I.

Name.

This association shall be called the Woman’s Club
of Central Kentucky.

ARTICLE II.
Object.
The object shall be to create among women an or-
ganized center of thought and action for the promo-
tion of social, educational, literary and artistic

growth, and what relates to the best interests of the
community.

ARTICLE III.
Departments.
For the better execution of its object, the Club
work shall be divided into departments, representing
different lines of activity.

ARTICLE IV.
Officers.

Sec. 1. The officers of the Club shall be a Presi-
dent, two Vice PreSIdents, residents of the City of
Lexington, and as many more Vice Presidents as
there may be counties represented in the Club, in-
cluding Fayette County, a Recording Secretary, a
Corresponding Secretary, a Treasurer and two And
itors These shall constitute the Executive Com-
mittee, who shall select the Chairmen of Depart-
ments and the Chairmen of Standing Committees.

Board of Directors.

Sec. 2. The Executive Committee, the Chairmen
of Departments, and the Chairmen of Standing Com-
mittees shall constitute the Board of Directors. This
Board shall transact the business of the Club, and
shall have power to fill vacancies occurring in its
own body during the interim between elections.

ARTICLE V.
Nomination and Election of Officers.

Sec. 1. The officers shall be elected by ballot at a
meeting held annually on the first Saturday in
March, and shall be installed in office on the first
Saturday in June. The Club Year shall begin with
October.

A Committee on Election shall be appointed to
consist of three members of the Club, who shall
serve as tellers at the annual meeting, and shall
have power to choose assistants. The chairman of
this committee shall be the Corresponding Secretary.
A blank ballot shall be mailed to each member of
the Club, which shall be filled in and returned to the
Corresponding Secretary. The names of the three
persons receiving the highest number of votes for
each office shall be presented at the annual meeting
and the candidates receiving a majority of the votes
of those present at said annual meeting shall be de-
clared elected.

ARTICLE VI.
Duties of Officers.

ings of the Club, preserve order, enforce all laws and
regulations, have general supervision of the interest
of the Club, and perform such other duties as are in-
cident to the office.

See. 2. The Vice President, senior in order of elec-
tion and present at the opening of the meeting, shall
perform the duties of the President in case of her
absence.

Sec. 3. The Recording Secretary shall take notes
of the proceedings of the .Club, make true entries in
her book of all things done and passed, and read the
same at each business meeting. She shall have
charge of all books and papers of the Club, except
those belonging to the Treasurer, or to any of the
committees, and shall perform such other duties as
are incidental to her office.

See. 4. The Corresponding Secretary shall con-
ductand have charge of the general correspondence
of the Club. ‘She shall keep a record of all official
communications sent out by her, and all communica-
tions received by her for the Club: She shall sign
and seal all notices and invitations, and notify all
persons of their election to membership or office.

Sec. 5. The Treasurer shall collect all money for
dues, initiation fees, guest tickets and badges. All
money received by her shall be deposited in the name
of the *Club in such bank as she may select, and shall
be drawn out only by her check as Treasurer. The
Treasurer shall at the first Board meeting in the
month make a statement of the finances, and at the
annual meeting in December she shall make an an-
nual report. She shall keep a correct account of all
monies received and paid out, and her books shall

be at all times open to the inspection of the Board
of Directors.

Sec 6. The Auditors shall audit all bills and ac
counts of the Treasurer, and report in writing at the
annual meeting whether they are correct.

Sec. 7. No person shall hold more than one of-
ficial position at any time, nor (with the exception of
the Secretary) shall serve for a longer period than
two years in the office to which she may be elected.

ARTICLE VII.

Membership.

Sec. 1. Qualifications for membership shall be
character, intelligence and reciprocity.

'Sec. 2. It shall be the privilege of each member
in good standing, who has held membership for one
year or longer to propose the names of two success-
ful candidates during each Club year.

See. 3. The President shall appoint a committee
on membership, consisting of three persons, whose
names shall be known only to the President, and
this committee shall receive all proposals for mem-
bership, and shall send the names of proposed new
members to the President, and at the next meeting
of the Board these names shall be submitted for con-
firmation, for which a two-thirds vote of the Direc-
tors shall be necessary.

Sec. 4. To become a member of the Club the
name of the candidate, with full address and qualifi-
cations for membership, must be proposed in writ-
ing by a member Of the Club. The name of a candi-
date pr-oposed for membership must be enclosed in a
sealed envelope, with the name of the endorser, and

sent under cover to the President, who must not be
informed of the name either of the candidate or of
her endorser, but shall transmit the sealed envelope
to the Committee on Membership.

Sec, 5. Every member of the Committee on Mem-
bership and every Director shall be in honor bound
to keep secret the names of persons proposed until
the same shall have been elected to membership,
nor shall the name of a defeated candidate ever be
divulged. by the ‘Board outside thereof, or by any
member of the Committee on Membership. No Di-
rector shall be at liberty to state the nature of her
vote, or how another voted.

Sec. 6. Daughters of members between the ages
of twelve and sixteen may be admitted to the Club
Without being voted upon and upon the payment of
half the usual dues. They shall be entitled to all
privileges except holding office and voting in the
business afiairs of the Club

See. 7. The membership of the Club shall be lim-
ited to two hundred and fifty.-

AIRTI‘CLE VIII.
Dues.

Sec. 1. The annual fee of five dollars shall be
paid to the Treasurer by each member of the Club

at the business meeting in October, or within thirty«

days thereafter, etherwisewthe—membeniswdrepped.

Sec. 2. New members entering the Club at ansr
time during the Club year shall pay an initiation fee
of five dollars, and be exempt from annual dues for
that Club year.

ARTICLE IX.

Sec..1. This Constitution may be amended by a
two-thirds vote of any meeting, notice of such inten-
tion haying been given at a previous meeting.

BY-LAWS

 

ARTICLE I.
Regular Meetings.

Sec. 1. The regular business meeting of the Club
shall .be held on the first Saturday afternoon of each
month during the Club year of nine months, from Oc-
tober to June.

Sec. 2. Special meetings may be called by the
President at the request of two or more Directors.

ARTICLE II.
“ Department Committees.

Sec. 1. Standing Committees, each consisting of
five members of the Club, shall have charge of the
4- departments, and shall prepare the programs of the
2 regular meetings in the order determined by the
Board of Directors. The chairmen of these depart
ments shall be announced in June of each year.

Duties of Chairmen.

Sec. 2. The duties of a Chairman of a Department
Committee shall be to appoint the other members of
said committee to arrange and attend all meetings of
the committee, to prepare and provide for such Club
meetings as shall be under the charge of her com-
mittee, and shall be responsible for the proper execu-
tion of the program of the day. At the annual meet-
ing she shall report the work of her department dur.
ing the year.

ARTICLE III.

Standing Committees.

Sec. 1. Standing Committees, each consisting of
three members of the Club, shall be appointed by
the Board of Directors. These for the present shall
be five in number, namely, House, Hospitality, En-
tertainment, Press and Finance.

House

Sec. 2. The House Committee shall have charge
of the Club rooms.

Hospltality

Sec. 3. The Committee on Hospitality shall have
charge of the social meetings to be held at the dis-
cretion of the Board of Directors, the object of such
meetings being to entertain distinguished guests and
to extend the influence of the Club.

Entertainment

See. 4. It shall be the duty of the Committee on
Entertainments to provide lectures or other enter-
tainments to be determined by the Board of
Directors.

Sec. 5. The Press Committee shall attend to the
press notices of the Club.

See. 6. It shall be the duty of the Finance Com-
mittee to sub-let rooms in the Club building, and col-
lect rent for the same.

ARTICLE IV.

Guest Tickets.

Sec. 1. The Directors issue tickets to admit guests
to any meeting of the Club or departments or classes,
and members may obtain such tickets from the
Treasurer on payment of twenty-five cents. Two
complimentary guest tickets may be issued to each
essayest or speaker of the day. Non-resident mem-
bers of similar associations shall be the guests of
the Club.

ARTICLE V.

Quorum.

Sec. 1. Thirty members shall constitute a quorum
at any regular or duly called meeting of the Club.

 

Quorum Board of Directors.

Sec. 2. One-third of the Board of Directors, resi-
dents in the city of Lexington, shall constitute a quo-
rum for the transaction of business. The Board of
Directors is required to have a stated place and time
of meeting, and shall provide such rules for its gov-
ernment as may be necessary.

ARTICLE VI.

Board of Directors Shall Keep Account of Its Acts.

Sec. 1. The Board of Directors shall keep a cor-
rect account in the books kept for such purpose of
all its acts, except when a candidate for membership

is rejected, and the same shall at all times be open
to the inspection of any member of the Club.

ARTICLE VII.

Sec. 1. No money shall be paid‘ out on account of
the Club unless ordered by the Club or Board of Di-
rectors.

Sec. 1. The deliberations of the meetings _of the
Club shall be governed by Roberts’ Rules of, Order. .’
