ARTICLE I.

This Association shall be called the Woman’s
Club of Louisville.

ARTICLE II.

Louisville, Kentucky, shall be the place where
the Association is located.

ARTICLE III.

The object of the Association shall be mutual
sympathy and counsel, and united effort to further
reform and improvement in the community in
which we live.

ARTICLE IV.

The officers of the Woman’s Club of Louisville,
a corporation lately existing, shall be the officers
of this Association as if elected under this Con-
stitution.

ARTICLE V.

The executive authority of this Association
shall be vested in a Board of Managers, to be
composed of its oflicers. The Board of Man-
agers shall have the right to fill all vacancies in
the body occurring after election, even though
the officer may not yet have assumed the act-
ive discharge of her duty; and a vacancy shall
be considered such, whether occasioned by dec-
lination, resignation, death, removal from the
city of Louisville and county of Jefferson, or a
disability which, in the judgment of the Board,
is of so long continued a character as to require
the place to be filled anew.

ARTICLE VI.

The officers of the Association shall be a
President, a First Vice-President, a Second
Vice-President, a Recording Secretary, at Cor-
responding Secretary, a Treasurer, a Chairman
of the Department of Literature, a Chairman of
the Department of Education, a Chairman of
the Department of Art, a Chairman of the
Department of Economics, a Chairman of the
Committee on Rooms. All of these officers
shall be elected by ballot on the second Wednes-
day in March of each year. No person shall
be eligible to any of these offices who shall not

have been a member of this Association or its
predecessor—the Woman’s Club of Louisville—
for at least two years.

In regard to the several Chairmanships above
mentioned, their election shall be had in the
following manner: Each Department shall des-
ignate two persons, one of whom shall be chosen
by the Association as Chairman for the ensuing
year. No person shall be eligible to any office
for more than two consecutive terms.

ARTICLE VII.

The Bylaws of the Association shall be pre-
scribed by the members. When once adopted
they shall not be suspended at any special meet—
ing, unless by a vote of two thirds of those
present. They shall not be changed except at
the regular business meetings, and then only by
a vote of three fifths of the members. But if
notice of a motion to change the By-laws shall
be given at one business meeting, to be acted
upon at the succeeding business meeting, a
majority shall be sufficient for such action.

ARTICLE VIII.
This Constitution may be changed in the fol-
lowing manner : At any regular business meet-
ing of the Club it may be changed by a vote of

four fifths of those present; it may be changed
at any special meeting called by the Board of
Managers for the purpose of considering the
change, by a vote of three fifths of those present.

ARTICLE IX.

Membership of the Association shall not be
limited, and all members of The Woman’s Club
of Louisville (incorporated) are hereby consti-
tuted members of this Association.

ARTICLE X.

The death of a member shall cause all her
interest in any money or property of the Associa-
tion to cease and vest in the survivors and their
successors. The same result shall follow the
ceasing to be a member by resignation, failing to
pay dues, or removing permanently from Jeffer-
son County.

ARTICLE XI,

All members shall be required to sign this

Constitution in a book kept for the purpose.

ARTICLE 1.

SECTION I. The regular meetings of the Asso-
ciation shall be held on the first Wednesday of
each month during the Association year, which
shall be the nine months from October to June,
inclusive. The time of the session shall be from
three to five P. M., but may be extended beyond
that time by a vote of two thirds of those present.

The business portion of these meetings shall
be limited to forty-five minutes, and shall not be
extended except by unanimous vote. These
meetings may be declared open at the discretion
of the Board of Managers.

SEC. 2. Special meetings may be called by
the President or Secretary at the request of two
or more Managers.

SEC. 3. Business and social meetings shall
be held three times during the year, namely:

and April, at three P. M. The business may last
for sixty minutes, and this time may be extended
upon vote of two thirds of those present.

The Board of Managers shall have the right
to dispense with any of these meetings.

SEC. 4. Social meetings shall be held at the
discretion of the Board of Managers; the object
of such meetings being to entertain guests, to
hear a lecture, or merely to spread the influence
of the Association.

SEC. 5. An annual meeting shall be held
on the first Friday following the general meeting
in June. An annual meeting for the election of
officers shall be held on the second Wednesday
in March. Each of the meetings mentioned in
this section shall convene at the rooms of the
Association at three P. M., and last until adjourn-
ment by vote. The Secretary shall give notice
by postal card, addressed to each member, of
these meetings.

SEC. 6. The Board of Managers may issue
tickets to admit guests to any meeting of the
Association except those mentioned in Sections
Three and Five, and members may obtain such
tickets from the Treasurer on payment of fifty
cents for each ticket. Two complimentary guest
tickets may be issued to each speaker.

ARTICLE 11.

SEC. 1. In the election of officers there shall
first be taken an informal ballot, without nomi-
nation. The three persons, if there be so many,
receiving the highest number of votes shall then
be balloted for. If no one receives a majority
of all the votes cast, the one receiving the least
votes shall be dropped and the choice made
between the other two. In case of a tie another
ballot shall be taken, and if a tie again results
the presiding officer shall determine the result by
lot. A majority of those voting shall constitute
an election.

SEC. 2. The above section shall not apply
to the place of Chairman of a Department, as in
that case two are at once nominated to the Asso-
ciation, and the choice shall be made between
them by ballot; but if a tie shall twice result,
this shall be determined as provided in Section
One. '

SEC. 3. The Board of Managers thus elected
shall at once prepare the work for the ensuing
year, but shall not be installed in office until
after the conclusion of business at the annual
meeting in June.

meetings of the Association and of the Board of
Managers, preserve order, enforce the laws and
regulations, have general supervision of the
interests of the Association, and perform such
other duties as are incident to the office.

SEC. 2. The First and Second Vice‘Presi-

dent, in this order, shall perform the duties of

 

 

the President in her absence.

SEC. 3. The Recording Secretary shall keep
the minutes of the Association and the Board of
Managers and properly index the same. She
shall have custody of all papers of the Asso-
ciation and perform such other duties as are
incident to her office. It shall be her duty to
notify the officers of all Board meetings, and the
members of the meetings provided for in Article
I, Section 5, and of such other meetings as she
may be directed by the Board of Managers.

SEC. 4. The Corresponding Secretary shall
conduct and have charge of the general corre-

 

 

 

spondence of the Association. She shall keep a
record of all official communications sent out by
her, and all communications received by her for
the Association. She shall Sign and send all

election to membership or office. In case a can-
didate for membership fail of election, she shall
notify the member who proposed her. In notify-
ing a candidate of election to membership, a copy
of the Manual for the year shall be inclosed.

SEC. 5. The Treasurer shall collect all
money coming to the Association; deposit the
same in the name of the Association in such
bank as the Board of Managers may select, and
such money may be drawn out only upon her
check as Treasurer. All bills shall be paid by
check. The Treasurer shall at each business
meeting make a statement of the finances, and
at the annual meeting in June she shall make an
annual report. She shall keep a correct account
of all money received and paid out, and her books
at all times shall be open to the inspection of
the Board of Managers.

SEC. 6. The Board of Managers shall trans-
act the business of the Association, having a
general power in this respect, to be subject to
the control of the Association. The Board of
Managers shall appoint an Auditor, who shall
audit the Treasurer‘s books annually.

ARTICLE IV.

SEC. 1. For the better execution of its ob-

tion of four Departments representing different
lines of activity: Education, Economics, Art,
and Literature.

SEC. 2. Department Committees, each con-
sisting of five members of the Association, shall
have charge of the regular meetings of the Asso-
ciation in the order determined by the Board of
Managers, with the exception of the February
meeting, which shall be retained in the hands
of the Board of Managers. The Chairman of
each Department shall arrange and attend the
stated meetings of her Department. She shall
prepare and provide for the work of such Asso-
ciation meetings as may be under the charge of
her Department, and make report to the Board
at its general meeting. She shall be present at
meetings of the Association conducted by her
Department and superintend the fulfillment of
the program. At each meeting of the Board
of Managers she shall report the work under-
taken by her Department, and at the annual
meeting in June the work accomplished for the
year.

SEC. 3. The Chairman of each Department
shall appoint her own associates.

SEC. 4. A Department engaging in any out-
side work shall secure the indorsemeut of the

SEC. 5. The Chairman of the Committee on
Rooms shall select four associates, and this Com-
mittee shall have charge of the rooms of the
Association and of its hospitality. The Chair-
man shall be door-keeper.

SEC. 6. Each member of the Club shall en-
roll herself as a member of one of the Depart-
ments mentioned in Section One. No member
shall be upon more than one roll. These Depart-
ments shall have meetings at such time and place
as they may determine, and the Chairman of the
Department shall preside at such meetings.

ARTICLE V.

SEC. 1. To become a member of the Asso-
ciation, the name of the candidate, with full ad-
dress and qualifications for membership, must
be proposed in writing by one and indorsed by
another member of the Association.

SEC. 2. The qualifications for membership
shall be intelligence, character, and reciprocity.

SEC. 3. Both the member and the indorser
proposing a new member must have been con-
nected with the Association or its predecessor
for at least one year.

SEC. 4. The President shall appoint a Secret
Committee on Membership, consisting of three
persons, to be advisory to the Board, and this

”Committee shall receive all proposals for mem-

bership and make report thereon to the Board of
Managers.

SEC. 5. The name of a candidate proposed
for membership must be inclosed in a sealed
envelope, with the name of the proposer and in-
dorser, and sent under cover to the President.
This officer must not be informed of the name,
either of the candidate or of the proposer or the
indorser, but shall transmit the envelope, sealed,
to the Committee on Membership.

The Committee on Membership shall send
their report on the proposed new members to
the President, and at the next regular meeting
of the Board of Managers these names shall be
submitted for consideration.

The Board of Managers shall vote for candi-
dates for membership by ballot, and it shall
require at least eight votes in the affirmative to
elect.

Every member of the Committee on Mem-
bership, every officer, the proposer and indorser,
shall be in honor bound to keep secret the name
of any person proposed for membership until
the same shall have been finally passed on, and
in no event shall the name of a defeated candi-
date be ever known outside of the Committee on

member of the Committee on Membership and
no officer shall be at liberty to state how she
voted.

SEC. 6. No candidate who shall fail of elec-
tion shall be again proposed until after the ex-
piration of one year from the first proposal.

SEC. 7. Only one successful candidate shall
be proposed by a member during any one year.

SEC. 8. An initiation fee of five dollars and
the annual fee of five dollars shall be paid to
the Treasurer on acceptance of membership.

SEC. 9. An annual fee of five dollars shall
’be paid by each member at the annual meeting
in June. If not paid within thirty days after
the annual meeting, the member shall be
dropped, and only reinstated upon her personal
application to the Board of Managers.

ARTICLE VI.

Membership cards will be issued by the
Treasurer after the initiation fee is paid, and
members must be ready to show their cards at
every meeting. Visitors’ tickets will be collected
at each meeting.

ARTICLE VII.
It shall be the policy of the Association not
